Our Mergers and Acquisitions (M&A) Tax Group Our national M&A Tax group is an advisory practice with significant advancement opportunities. We advise private equity firms, family offices, privately held companies, and multinational corporations on the tax aspects of planning, structuring, and executing M&A transactions.
Position Overview RSM US LLP is seeking a dynamic M&A Federal Tax Senior Manager to join our national Mergers and Acquisitions - Transaction Integration and Corporate Restructuring Tax group. This rapidly growing practice offers significant advancement opportunities. You will advise multinational corporations, privately held companies, partnerships, and private equity firms on tax matters related to M&A transactions.
Responsibilities
Collaborate within a multidisciplinary team to deliver post-close M&A tax transaction integration assistance, including Transaction Costs Analysis, tax Purchase Price Allocation, Section 382 Ownership Change Analysis, and Limitation Calculations.
Assist clients with reorganizations and related tax considerations, such as Consolidated Stock Basis analysis, Earnings and Profits analysis, and Gain Calculations.
Work with senior team members on technical tax issues involving consolidated returns, S Corporations, partnerships, and LLCs.
Manage multiple engagements simultaneously across the M&A practice.
Develop, motivate, and train staff and senior team members.
Basic Qualifications
Bachelor's Degree in Accounting or a related field.
8+ years of federal tax experience in M&A or transaction integration, from a public accounting firm, corporate tax department, or law firm.
CPA, JD, or EA certification required.
Knowledge of diverse corporate tax matters across industries.
Ability to lead multiple client engagements concurrently.
Excellent research and writing skills.
Preferred Qualifications
Master's Degree in Accounting, Taxation, or related field.
Experience with a large regional or national accounting firm.
