Apply locations: Parsippany | Full time | Posted 6 Days Ago | Job requisition id: JR00018860 Role Description The Corporate Counsel will provide legal support for the Business Development (BD), External Innovation (EI), and Integration Management Office (IMO) teams at Zoetis. Business Transactions / External Innovation : The Corporate Counsel will advise on and support various domestic and cross-border transactions, including mergers, acquisitions, divestitures, licensing, supply and distribution agreements, research collaborations, and other corporate transactions, with a primary focus on EI transactions. Integration : The counsel will support the integration of newly-acquired businesses, manage collaborations/alliances, legal entity reorganizations, and other IMO-related matters. General Corporate Matters : Support includes preparing legal templates, managing legal support requests, maintaining contract databases, coordinating with legal specialists, ensuring policy compliance, and handling project-based assignments. This role involves supporting a high volume of transactions, primarily EI transactions, under the oversight of senior legal leaders, and collaborating on BD transactions. The role requires close work with various internal teams, including Intellectual Property, Manufacturing, Supply, and Compliance, across global locations. Responsibilities Support and advise on transactions such as mergers, acquisitions, divestitures, licensing, and collaborations, including: Preparing transaction materials, conducting due diligence, drafting agreements, and facilitating closings. Assist with integration of acquisitions, alliances, and reorganizations. Support other legal team members with corporate matters, legal templates, support requests, and compliance. Develop expertise through ongoing education and cross-functional collaboration. Education and Experience J.D. from an accredited law school, with strong academic record. Active bar membership in the U.S. 2-4 years legal experience, preferably at an Am Law 100 firm. Experience with M&A transactions, including drafting, negotiations, due diligence, and leading initiatives. Experience in IP/R&D and healthcare transactions is a plus. Technical Skills Strong project management, communication, and interpersonal skills. Sound business judgment and decision-making skills. Ability to work independently in a fast-paced environment handling multiple projects. Position Details Work with global teams across time zones. Hybrid work environment: approximately 50% on-site at Parsippany, NJ. Base pay range: $142,000 - $205,000, reflecting the location in New Jersey.
