Assistant General Counsel - Alternatives

Neuberger Berman is a leading asset manager that is seeking a Private Equity/Investment Management Attorney to provide advice, support and research on a broad variety of legal, regulatory and general corporate matters for their institutional asset management business. The position will support two registered investment advisers focused on private equity fundraising and investing. The position will report to the General Counsel covering the business. This is an exceptional opportunity for a well-rounded investment management attorney who enjoys working on many different sophisticated matters, wants substantial business team and client contact and is a team player.

Responsibilities:

1. Provide legal advice relating to fund and separate account formation, as well as investment advisory services to private equity funds and institutional separate account clients
2. Negotiating investment advisory and delegation agreements
3. Working with the Compliance department on policies and procedures
4. Assisting in the development of new investment vehicles and products
5. Advising and coordinating with internal and external counsel relating to mandates

Qualifications:

1. At least 4 years' experience within large law firm
2. JD Required
3. Working knowledge of Investment Advisers Act of 1940, Investment Company Act of 1940 and the 1933 and 1934 Acts and ERISA rules
4. Efficient and resourceful, able to work independently, handling multiple and changing priorities, and meet deadlines
5. Excellent organizational skills; detail oriented
6. Strong time-management skills; ability to prioritize multiple tasks efficiently
7. Ability to communicate effectively with senior management
