SUMMARY: The General Counsel will serve as the primary legal advisor for all corporate transactions, acquisitions, and investments within Worcester Investments' portfolio. This role demands a proactive, results-oriented individual with exceptional attention to detail and the ability to operate autonomously. The ideal candidate will possess a strong understanding of commercial real estate law and a proven track record of successfully managing complex transactions.
RESPONSIBILITIES:
- Legal Counsel: Provide comprehensive legal advice and support to senior management and other departments, ensuring compliance with all applicable laws and regulations.
- Due Diligence: Conduct thorough due diligence for potential acquisitions, dispositions, and financings of multi-family properties.
- Transaction Management: Review and negotiate purchase and sale agreements, loan documents, private placement memorandums, and other contracts related to real estate transactions.
- Financing: Assist in securing financing for properties, including negotiating loan terms and reviewing loan documents.
- Compliance: Ensure the company's adherence to all relevant laws and regulations, including those pertaining to real estate, zoning, and environmental issues.
- Risk Management: Identify and mitigate legal risks associated with real estate transactions, implementing policies and procedures to minimize legal liability.
- Litigation Management: Manage all legal disputes and litigation involving real estate properties, coordinating with outside counsel and overseeing legal strategy.
- Industry Expertise: Stay abreast of trends and developments in the multi-family real estate industry, including regulatory changes, market conditions, and financing options.
- Internal Cost Savings: Analyze current legal matters to identify opportunities for cost savings through internal legal work.
- Deal Collaboration: Collaborate with current legal counsel on contracted deals to familiarize with Worcester Investments procedures.
QUALIFICATIONS:
- Juris Doctor (J.D.) from an accredited law school is required.
- Active membership in the Missouri and Kansas Bar, or eligibility to waive in.
- Minimum of 5-10 years of legal experience in commercial real estate transactions.
- Extensive experience drafting and negotiating purchase and sale agreements.
- Proven experience managing outside counsel on various legal matters.
- Litigation experience is a plus, but not essential.
- Excellent legal writing and drafting skills.
- Strong strategic leadership skills.

- Corporate governance
- Banking and loan agreements
- Commercial contracts
- Legal/regulatory compliance
ATTENDANCE/TRAVEL:
- Position requires ability to work hours as needed to meet the needs and requirements of the job.
- Travel required as needed to fulfill requirements of the position and to attend company events and training courses.
- Must have valid driver's license and ability to rent a car.
