Job Description:
Our client, a leading Am Law 100 firm, is seeking a
Junior Associate (1 to 3 years of experience after graduating law school ONLY)
with
commercial contracting and/or M&A experience
to join its
Health Law Practice
in either the New York or Washington, DC office. This associate will play a key role in supporting national and regional health plan clients, particularly in their contracting relationships with
pharmacy benefit managers (PBMs)
and other vendors, while also contributing to the firm's healthcare transactions practice. Key Responsibilities
Draft, review, and negotiate
service agreements, PBM contracts, vendor arrangements, and M&A agreements . Assist in contract lifecycle management, including issue-spotting, preparing summaries, and tracking obligations. Conduct research on
payor regulations, PBM practices, and federal/state compliance matters , summarizing guidance from CMS and state agencies. Support responses to
audits and regulatory inquiries . Contribute to M&A transactions by performing due diligence, preparing and negotiating transaction documents, and managing healthcare-related deal components. Collaborate with partners, clients, co-counsel, and opposing counsel on contract workflows and transactional matters. Qualifications
JD or LLM from an ABA-accredited law school. Admission (or eligibility for admission) to the
District of Columbia or New York Bar . 1 to 3
years (ONLY) of litigation or transactional experience , preferably in the healthcare sector. Strong drafting, research, and analytical skills. Excellent written and verbal communication abilities, with the professionalism to engage with sophisticated clients. Ability to manage multiple priorities, stay organized, and work effectively in a
collaborative team environment . Preferred
Experience in healthcare transactional matters. Familiarity with healthcare regulatory frameworks, including the
Anti-Kickback Statute, Stark Law, corporate practice of medicine restrictions, CON, and licensure requirements .
