We are looking for a mid-level in-house counsel to draft and negotiate software license agreements, cloud services agreements (i.e. SaaS), and professional services agreements related to company’s software and services in the financial/banking services industry and review and negotiate all company-related vendor agreements. Legal counsel will also be expected to advise company on corporate, human resource, regulatory (particularly in the financial industry) and data security issues as well as any company-related legal issues.
Essential Functions
Draft, review and negotiate (written and verbal) software and services contracts, including those dealing with software licenses, SaaS and other cloud offerings, software consulting and service delivery, as well as RFP support and a range of NDAs.
Review and negotiate all company vendor contracts.
Advise on corporate, human resource, and regulatory legal issues including drafting internal company policies.
Establish good working relationships across all business units, notably Sales and Finance.
Maintain a current knowledge of, and support compliance with, applicable laws and regulations.
Any day-to-day tasks associated with a corporate legal counsel position.
Competency
Possess high-level legal drafting and negotiation skills and excellent written and verbal communication skills.
Excellent organizational skills with the ability to multi-task.
Pays strong attention to detail and possesses commitment to excellent client service.
Required Education
Juris Doctor from an ABA-accredited law school.
Required Experience
Minimum of 2 to 4 years of legal experience in software license contract drafting and negotiation.
Preferred Education
Preferred Experience
Familiarity with data security, privacy, and financial services regulations.
Additional Eligibility Qualification
Member in good standing of Pennsylvania bar.

Licensure
Licensed to practice law in Pennsylvania.
Supervisory Responsibilities
Work is performed in a hybrid office setting, during normal business hours(days). The noise level is the work environment is moderate in office setting.
