$450,000 - $500,000 annually Job Description: Direct Counsel is seeking an experienced
ERISA Fiduciary (Title I) Attorney
to join a
top-tier international law firm
with a robust investment management and private funds practice. This is a high-level opportunity for a seasoned attorney with deep knowledge of ERISA Title I to advise on complex transactions for sophisticated investment clients.
Key Responsibilities: Advise private funds and investment managers on "plan asset" rules, including the 25% test and VCOC/REOC compliance Draft and review ERISA-related fund documentation (PPMs, LPAs, subscription agreements, side letters) Analyze transactions for REOC/VCOC qualification and prepare legal opinions and certifications Counsel investment advisers and hedge fund sponsors on fiduciary duties and prohibited transactions under Title I of ERISA Navigate statutory and administrative exemptions (e.g., QPAM) Handle DOL and IRS compliance matters, including audits and exemption requests Advise on ERISA issues in M&A involving investment advisers Represent pension fund fiduciaries and clients in fund review and investment decisions Support securitization transactions (especially CLOs) and prepare related ERISA disclosures for capital markets offerings Qualifications:
Minimum of 7 years of experience focused on ERISA Title I matters Outstanding academic credentials Law firm experience required Must be licensed and in good standing in the jurisdiction of practice
Compensation: The expected salary range for this position is between $450,000 and $500,000 annually, depending on experience and other relevant factors.
