The Contracts Attorney will be responsible for drafting, reviewing, revising, and negotiating a variety of corporate and commercial agreements. This includesbut is not limited toNDAs, SaaS agreements, subscription contracts, engagement letters, consulting agreements, insurance-related agreements, and data protection contracts. The ideal candidate will bring 58+ years of relevant post-J.D. experience.
This is a 3+ month contract-to-hire opportunity, offering a competitive hourly rate of $100$120/hour, depending on experience. This role follows a hybrid work schedule (2 days on-site, 3 days remote per week).
Key Responsibilities:
Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, NDAs, SaaS agreements, subscriptions, engagement letters, consulting agreements, insurance policies, and data protection terms. Collaborate closely with internal teams such as Procurement, IT, HR, Claims, Underwriting, and Compliance to ensure contracts align with business goals and manage legal risk effectively. Translate complex legal concepts into clear, practical guidance for business stakeholders. Identify and address key legal and commercial issues, including indemnification, limitation of liability, termination clauses, and data security obligations. Maintain a strong understanding of the organization's risk appetite and align contract terms accordingly. Contribute to the development and maintenance of contract templates, negotiation playbooks, and internal review processes to ensure consistency and efficiency. Monitor legal and regulatory developments and incorporate necessary updates into contracts and internal procedures. Support ongoing improvements to contract lifecycle management systems and processes, enhancing cross-functional collaboration.
Qualifications:
J.D. from an accredited law school and admission to the Massachusetts Bar in good standing. 58+ years of post-J.D. legal experience with a strong emphasis on commercial contracts. Demonstrated expertise in drafting and negotiating a broad range of agreements, including vendor, privacy, software licensing, and consulting contracts. Excellent communication skills, with the ability to explain legal concepts clearly to non-legal professionals. Proven ability to work effectively with cross-functional teams across various departments. Strong negotiation and drafting skills with high attention to detail. Ability to manage multiple tasks and priorities in a dynamic, fast-paced environment with sound judgment and minimal supervision.
