Reporting to the Director, R&D Counsel, the Sr. Contracts Manager/Contracts Manager will administer the company’s contract management system and provide general legal contracting support across the organization. Responsibilities include management of the contract lifecycle management (CLM) system, interfacing with operational teams to develop and improve contract processes/templates, managing contract-related information and data in the CLM, and depending on experience, contract drafting and negotiation. This role is based in our Waltham, MA headquarters. Our office-based employees are required to work in the office three (3) days a week. Responsibilities (including, but not limited to):

Administer and manage contract lifecycle in the CLM system, including processing contracts through execution, running CLM reporting, tracking expiration dates, and proactively consulting internal business partners about contract renewals. Maintain accurate and up-to-date contract records and documentation in accordance with company processes in the CLM system (Agiloft), and escalate issues to the Legal team as needed. Function as a primary point of contact for internal stakeholders such as clinical operations, business development, finance, research, manufacturing, quality, regulatory, and external contract specialists on contract queries relating to contracting process, submission of contract requests, and contract status. Collaborate with stakeholders in the IT and Legal groups to implement, improve, maintain, and train end-users on the CLM system and prepare contract training materials. Potential to prepare, review, negotiate, and execute a wide range of contracts to support the company’s research & development and general business operations, including confidentiality agreements, vendor agreements, statements of work, consulting agreements, and amendments. Manage, update, and maintain contract templates. Continuously assess and provide recommendations to optimize the contract management processes to enhance efficiency, accuracy, and overall effectiveness. Provide sound guidance and education to employees with support from the Legal team on contract matters, including contractual obligations and the contract process. Manage special projects as needed, including compliance initiatives, implementation of contract process changes, and development of contracting standards. Qualifications:

4+ years of professional experience as a paralegal/contracts manager; 4+ years of administering or managing legal databases or systems or working in a legal environment managing contracts, preferably in the pharmaceutical or biotechnology industries. Associate’s degree with paralegal certificate, bachelor’s degree, or equivalent experience required. Familiarity with CLM software (e.g., Agiloft). Interest in learning or currently proficient in reviewing, drafting, and negotiating the legal provisions of contracts in the biotechnology or pharmaceutical industry, including confidentiality agreements, vendor agreements, statements of work, consulting agreements, and amendments. Personable collaborator who can work successfully and build relationships with internal stakeholders and external parties to achieve business goals while managing risk. Flexible and adaptable to shifting deadlines and priorities; able to effectively prioritize assignments and manage a large volume of contracts moving through the CLM. Analytical thinker with enough creativity to synthesize new solutions to old problems. Potential to develop or have proficiency to understand and analyze legal contractual terms, accurately identify, and assess the risks in a business arrangement, make decisions with respect to contract content that are in alignment with company’s risk tolerance and contracting standards, and identify issues for appropriate escalation within the business. Demonstrated strong written and verbal communication skills. Proven mindset of proactive continuous improvement. Efficient independent worker with ability to focus and drive for results. Strong attention to detail. Ability to work in a fast-paced environment and to handle multiple tasks. Strong commitment to ethical standards. Proficient with Microsoft Office suite (i.e., Word, PowerPoint, Excel, Outlook, SharePoint, etc.). The salary range for this position is commensurate with experience.
