3rd-5th year Lateral Associate Attorney
to join its
Sponsor Finance Team . This is a high-impact role for attorneys experience representing financial institutions, debt funds, and multi-lender syndicates in complex financing transactions. Key Responsibilities Represent lenders in structuring, negotiating, and documenting secured and unsecured credit facilities, including cash flow and asset-based loans. Advise on sponsor-backed leveraged buyouts and multi-tranche debt structures, including second lien, mezzanine, and unitranche facilities. Draft and negotiate intercreditor and subordination agreements. Support cross-border and domestic financing transactions across a range of industries. Collaborate with internal teams and clients to manage deal execution and ensure regulatory compliance. Qualifications JD from a top-tier law school. 3–5 years of experience in lender-side representation at a major law firm. Strong background in syndicated finance transactions and sponsor-backed deals. Experience with complex capital structures and intercreditor arrangements. Excellent drafting, negotiation, and client service skills. Admission to the bar in the jurisdiction of practice or eligibility to waive in. Preferred Attributes Ability to manage multiple transactions and client relationships independently. Strong business acumen and collaborative mindset. Interest in working with financial institutions and private credit providers. Seniority level
