The Deputy General Counsel – Corporate Legal Affairs plays a critical leadership role in overseeing the legal functions of The Mutual Group, as a services provider to mutual insurance carriers. The Deputy General Counsel – Corporate Legal Affairs plays a critical leadership role in overseeing the legal functions of The Mutual Group, as a services provider to mutual insurance carriers. This position focuses on corporate governance, litigation, commercial transactions, employment law, regulatory tracking and strategic legal initiatives, while partnering closely with a peer Deputy General Counsel who leads insurance regulatory and compliance matters.

Reporting to the Chief Legal Counsel, this role serves as a trusted advisor to senior leadership, providing strategic legal guidance that supports innovation, growth, and operational excellence. The Deputy General Counsel will lead legal support for enterprise-wide initiatives, manage legal risk, and foster a culture of integrity, collaboration, and accountability.

Accountabilities

Advise on governance structures, fiduciary duties, and corporate formalities Prepare board materials, resolutions, and committee documentation Support corporate secretary functions and legal entity management Oversee litigation strategy across employment, commercial, and regulatory matters Manage outside counsel relationships and litigation budgets Lead internal investigations and support regulatory audits (non-insurance specific) Draft, review, and negotiate contracts including vendor agreements, NDAs, and strategic partnerships Develop and maintain contract templates and playbooks Support M&A, joint ventures, and other corporate development initiative Provide legal counsel on employment policies, investigations, conflicts of interest and workforce matters Partner with HR on compliance with labor laws and workplace regulations Manage IP portfolio including trademarks and copyrights Advise on data privacy, cybersecurity, and technology-related legal risks Partner with underwriting, claims, finance, and operations to align legal strategy with business goals Collaborate with the Deputy General Counsel for Insurance & Compliance to ensure cohesive legal coverage Contribute to enterprise risk management and strategic planning Lead and mentor legal professionals within the corporate legal team Promote legal awareness and training across departments Foster a high-performance, inclusive, and collaborative culture All other duties as assigned.

Skills/Requirements

Qualifications:

Juris Doctor (JD) from an accredited law school; active bar membership in good standing Minimum of 10 years of legal experience, preferably in-house within insurance, financial services, or regulated industries Expertise in corporate law, litigation, employment law, and commercial transactions Strong understanding of governance, privacy, and strategic legal risk Exceptional communication, negotiation, and leadership skills Proven ability to manage complex legal issues and cross-functional initiatives High ethical standards and sound judgment Periodic travel required
