Winston & Strawn LLP is looking for an associate with 4 - 6 years of significant experience in private equity fund formation and related matters. Ideally, the candidate should have experience (preferably at a large law firm or, in special circumstances, an in-house setting), in (i) assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements and related ancillary agreements, (ii) reviewing fund documentation on behalf of institutional investors and the related negotiation of fund terms, and/or (iii) structuring and drafting governing documents pertaining to private equity fund management companies and general partners. The candidate should have a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. Experience with private equity secondary transactions and/or GP-led restructurings would also be helpful. While we are looking for candidates to place in our Chicago, Charlotte, or New York office, candidates for our other offices will be considered.
