Overview The Senior Commercial Counsel – Contracts & Compliance serves as a key legal advisor to the organization, with primary responsibility for drafting, reviewing, and negotiating a wide range of commercial contracts. The role requires a strong foundation in contract law, the ability to manage complex legal matters independently, and the judgment to partner effectively with business leaders to mitigate risk while enabling growth. The Senior Commercial Counsel works closely with executive management in implementing all functions necessary for maintaining the company\'s compliance status.
What You\'ll Do
Draft, review, and negotiate commercial agreements, including vendor contracts, service agreements, NDAs, licensing agreements, and other legal instruments
Advise internal stakeholders on contractual rights, obligations, and potential risks, ensuring alignment with business objectives and compliance requirements
Develop and maintain standardized contract templates and playbooks to streamline contract review processes
Partner with business leaders to resolve contract disputes and provide practical solutions to support operational needs
Monitor and interpret applicable laws and regulations relevant to company operations, with a focus on compliance risk in commercial transactions
Support compliance programs, policies, and procedures to ensure adherence to applicable legal and regulatory standards
Conduct legal research and prepare memoranda on various corporate and commercial matters
Coordinate with outside counsel as required for specialized matters
Maintain accurate legal and compliance documentation and records
Advise on basic employment law matters as needed
Strong team building, leadership, and people management experience, including experience managing direct reports and large-scale projects
Manage the day-to-day performance of the legal team
What You\'ll Need
Ability to work in the San Francisco office 1-3 days a week
Juris Doctor (JD) from an accredited law school, and current member in good standing with a US state bar
7+ years of experience in corporate and/or commercial law
10+ years of experience as a practicing lawyer
Familiarity with employment law is a plus
Proven ability to draft, review, and negotiate complex agreements in a business environment
Knowledge of compliance frameworks, applicable regulations, and risk management strategies
Excellent judgment, problem-solving skills, and the ability to balance legal risk with business objectives
Strong interpersonal, collaboration, and communication skills, with the ability to influence at all levels of the organization
Working knowledge of Office, JIRA and contract management systems
High level of professional ethics, integrity, and discretion
Exceptional organizational skills with the ability to manage multiple priorities in a fast-paced environment

What We Offer The base salary range for this position is $175K to $195K/year. Offered salary will be determined by several factors, including but not limited to: applicant's education, experience, knowledge, skills and abilities, as well as internal equity and alignment with geographic market data. Business Wire reserves the right to modify this salary range at any time.
