Overview This role is seeking a Paralegal experienced in corporate governance, SEC compliance, and transactional support in a fast-paced, innovation-driven environment to support the General Counsel at a global manufacturer.

Organize and update corporate documentation, including records for subsidiary entities, board resolutions, meeting minutes, and governance charters. Provide support in preparing materials for board and committee meetings under the direction of the General Counsel. Assist in drafting and submitting filings to the SEC (such as Forms 10-K, 10-Q, 8-K, and Section 16 reports). Track regulatory deadlines and ensure all filings are completed on time. Help manage intellectual property assets, including patents, trademarks, and confidential business information. Maintain contract databases and support the full lifecycle of agreements. Support due diligence efforts, manage virtual data rooms, and assist with documentation for mergers, acquisitions, and strategic investments. Conduct research on corporate law, securities regulations, and compliance topics. Prepare, review, and oversee various business contracts, including non-disclosure agreements and vendor arrangements. Collaborate with teams across finance, human resources, investor relations, and engineering to advance legal and business goals. Qualifications
5+ years of experience as a corporate paralegal, preferably in a public company or law firm Bachelor's degree and/or paralegal certification required Familiarity with SEC filings, corporate governance, and public company compliance Ability to operate effectively in a company with an international presence, supporting cross-border legal and compliance matters is highly desirable Seniority level
