Overview The Junior Legal Counsel for Markets Contracts Negotiations is an intermediate level position responsible for providing legal guidance and thought leadership to the Markets Business. This role supports Citi's global derivatives business by negotiating ISDA contracts and other OTC derivatives and clearing agreements. The Negotiator is responsible for managing all stages of the contract process from the initial drafting, internal escalations, client interface through execution. This role focuses on routine amendment negotiation coverage of ISDA contracts and other OTC derivatives and clearing documentation.

The attorney provides input into strategic decisions, exercising sound legal judgment to develop proactive, risk-appropriate, and commercially practical business-oriented solutions. Responsibilities
Responsible for providing legal counsel to the Markets Business, participating in strategic initiatives, providing subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management on legal matters impacting the business. Review of constitutional documentation and netting opinions, review and summarization of bespoke agreement provisions, offering reliable guidance to the firm’s internal stakeholders, consistent follow up with internal business stakeholders and external customers, maintaining detailed records of negotiations in legal technology systems, and staying apprised of new and changing regulatory and legal issues and industry initiatives. Extensive interaction with the firm’s institutional clients and their internal/external counsel, as well as coordination with the firm's trading/sales, legal, credit and tax areas. This role covers ISDA contracts and other OTC derivatives and clearing documentation negotiations for the firm’s global platinum clients. Supports legal peers in evaluating business proposals by analyzing and producing documentation while applying institutional knowledge and risk appetite against industry standards, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate. Collaborates across internal lines of business, control/support functions and/or external counsel to achieve coordinated and efficient outcomes on matters of common interest; coordinates closely with the Legal team on a regional and global basis. Assists the team in identifying, evaluating, and contributing to the management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, following relevant legal developments, participating in internal projects, escalating as appropriate. Appropriately assess risk when business decisions are made, demonstrating particular consideration for Citi’s reputation and safeguarding Citi, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, and effectively supervising the activity of others and creating accountability for those who fail to maintain these standards. Qualifications
0-2 years of relevant legal experience, preferably in financial services Banking or financial industry experience, including laws related to banking regulations Knowledge of international laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions Effective communication and negotiation skills and ability to build and maintain trusted relationships Excellent interpersonal, organizational and relationship management skills Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment Bar license in good standing to practice law Education
