They are seeking
Corporate Counsel
to join the Company’s Legal team in either
Washington DC, New York City or North Carolina , serving as the
primary legal partner on complex project finance and M&A transactions in the renewable energy sector.
Playing as an advisor and deal lead, you will structure, negotiate, and close financing arrangements for solar and battery storage projects, manage acquisitions and sales of energy assets, and oversee a wide range of commercial agreements. Key Responsibilities
Lead legal support for project finance transactions, including construction financing, term debt, tax equity, and refinancing for solar and battery storage projects. Serve as legal lead on M&A for renewable energy facility acquisitions and sales. Draft, review, and negotiate loan, partnership, purchase/sale, disclosure, and ancillary agreements. Partner with finance, development, and operations teams on transaction structuring and due diligence. Negotiate commercial terms with lenders, investors, buyers, sellers, and other stakeholders. Qualifications
J.D. from an accredited law school with an active license to practice law. Minimum of 5 years’ experience in a law firm or in-house legal department. Proven experience negotiating project finance transactions (including tax equity) and M&A deals in the renewable energy industry. Analytical skills to evaluate complex issues and provide sound legal advice to internal partners. Seniority level
