Overview

We are looking for a talented and dynamic commercial attorney with initiative and drive who can handle a high volume of varied and complex legal work. Ideal candidates will demonstrate an entrepreneurial approach to issue spotting and problem solving, with a keen eye toward constantly improving internal processes and creatively balancing commercial and compliance risks. As a member of our diverse legal team, the successful candidate will counsel internal clients concerning legal and business matters arising from agreements required for the operation of the Dollar Tree retail stores, distribution centers and store-support functions. Counsel will maintain excellent working relationships with business partners, company legal colleagues, outside counsel and other stakeholders and ensure that the clients’ legal needs are fully satisfied. This AGC position contributes to our goal of creating and implementing best-practice legal policies and procedures that help our law department become a world-class high-performing organization. The position may offer the opportunity to provide advice, coaching and mentoring to team members.

Responsibilities

Draft, review, and revise contracts and advise on contracts and other transactional agreements that are often subject to quick turnaround times; this includes procurement and services agreements, non-disclosure agreements, and other business documents (but excluding real property leases and other real estate matters).

Advise the business on contract interpretation, terms, issues, risks and negotiating strategies, protecting confidential and privileged information, ensuring regulatory compliance and safeguarding company IP, employee and customer data, and other assets.

Provide accurate and timely counsel to the different internal business units and executives on a variety of legal topics, including analysis of the company’s position in contract disputes.

Collaborate with colleagues to improve and maintain contract workflows, document management and retention procedures, and other company policies and records.

Manage project workflows efficiently and keep business units and others informed of progress and status of contracts.

Coordinate input from subject-matter experts, including outside counsel, on commercial contracts as needed.

Draft memoranda, emails, letters and other documents to clarify legal language or contract terms and conditions.

Maintain current knowledge of changes in business law, contract legislation and relevant regulations to ensure compliance with applicable laws and regulations.

Foster a workplace with high ethical and legal standards, promoting mutual respect, inclusion, and excellence in client service, while maintaining confidentiality and integrity.

Perform other legal or compliance tasks as required or assigned.

Requirements

Juris Doctor Degree from an ABA-accredited law school with high academic credentials.

Admission to practice in good standing as a member of a U.S. jurisdiction.

Six or more years of experience providing commercial transactional and contractual legal counsel to in-house clients and/or at a large law firm, including government experience.

Experience drafting complex transactional documents, especially vendor, services, procurement and other business-to-business agreements with appropriate third-party risk mitigation.

Excellent interpersonal skills with the ability to provide sound, clear legal advice and collaborate with legal colleagues.

Proven ability to work in a high-volume environment, manage multiple projects concurrently with minimal supervision, and support team goals.

Strong verbal and written communication skills, attention to detail, and good record-keeping.

Business acumen to support risk management and navigation of complex organizational relationships.

Broad generalist legal knowledge with a practical, business-oriented approach to legal issues.

Helpful skills or experience

Broad knowledge of the legal and regulatory environment as it relates to the retail industry (product safety, data privacy, IP, etc.).

Experience negotiating vendor agreements and handling pre-litigation contract disputes on behalf of business units.

Knowledge of contracting processes and lifecycle management (CLM), including creating and training on contract templates.

Familiarity with corporate policies, authorizations, internal structures and reorganizations, finance and insurance, and other transactional matters.
