Annual Bonus Hoffman & Forde, Attorneys at Law, APC is a full-service law firm with offices located in the Banker's Hill neighborhood of San Diego, across from the beautiful Balboa Park and in La Jolla, sitting above the Cove. We are seeking an experienced and detail-oriented Corporate Transactional Paralegal to join our dynamic legal team in La Jolla. The ideal candidate will possess strong organizational skills, a deep understanding of corporate transactions, and the ability to manage multiple tasks in a fast-paced environment. This role involves supporting attorneys in all aspects of corporate transactions. Duties and Responsibilities: Assist with the preparation and review of corporate transaction documents, including merger agreements, asset purchase agreements, stock purchase agreements, and related documentation. Coordinate due diligence processes, including the collection, review, and organization of due diligence materials. Assist in the preparation and filing of corporate documents, including certificates of incorporation, amendments, and dissolutions. Assist with the preparation and filing of annual reports and other compliance filings with state and federal agencies. Filing and obtaining employer and tax identification numbers (EINs). Manage preparation, assembly and compilation of documents in advance of closing and coordinate signature page gathering directly with client. Perform corporate/transactional law and record keeping including entity formation, annual reporting, operating agreements, partnership agreements, loan agreement, equity contribution agreements, joint ventures, corporate structuring, sales, mergers and acquisitions. Conduct lien and litigation searches nationwide; analyze and summarize results. Maintain and update corporate records and minute books. Research and analyze legal sources such as statutes, case law, legal articles, and regulatory sources. Communicate regularly with attorneys and clients regarding the status of projects and deadlines and inform attorneys of any issues. Manage inventory of closed transaction documentation and locate applicable precedent upon attorney request. Download, organize, and inventory due diligence documentation from client-provided data sites. Distribute draft documents to opposing counsel and clients. Develop and maintain positive relationships with the firms clients, title insurance companies, closing agents, administrative agencies, and other outside vendors. Qualifications/Requirements: Paralegal Certificate from an ABA accredited program. 5+ years of experience as a corporate transactional paralegal. Strong understanding of corporate and securities laws and regulations. Detailed oriented with a high degree of accuracy. Proficiency in Microsoft Office Suite, Adobe, Dropbox, and Clio (preferred) Strong written and verbal communication skills. Ability to work under tight deadlines and prioritize responsibilities. Excellent proofreading skills. Benefits and Compensation: Competitive compensation based on experience with a range of $30.00 - $40.00/hour, plus overtime and discretionary bonuses.
