Your New Role

The Warner Bros. Discovery Legal Department is seeking a technology and commercial transactional attorney. This position will be part of the Technology & Commercial legal team providing comprehensive and proactive legal support to the WBD businesses that power the company’s world renowned brands, including Warner Bros., MAX, Discovery and discovery+, HBO, CNN, DC Entertainment, HGTV, Food Network, TNT, Cartoon Network, Bleacher Report and more. This team has a particular focus on supporting the company’s enterprise technology and streaming organizations as well as its corporate and other commercial functions. The role requires close liaison with the relevant internal stakeholders and providing legal advice to the businesses on a wide range of issues.

Your Role Accountabilities

• Lead attorney for the negotiation and drafting of complex and strategic technology and commercial agreements and other legal documents in support of the company’s businesses and corporate functions, including software and technology license/development agreements, SaaS agreements, data licensing agreements, consulting agreements, purchase agreements, proof of concept agreements, statements of work, and NDAs. Advise on the structure of transactions.
• Provide support for technology and operations infrastructure and platforms and services that support WBD’s theatrical and television studio productions, linear broadcasting, digital products, and direct-to-consumer and streaming platforms; software and application licensing and development; data science and data strategy; distribution technologies; production and post-production technologies; media supply chain; enterprise systems and solutions; IT and telecom; information security; advertising and marketing technology; payment processing technologies; AI technologies; and more.
• Interpret and advise internal clients on rights, obligations, restrictions, and all other contractual provisions in tech and commercial contracts.
• Liaise with EVP level independently and provide leadership to large teams, with an emphasis on AI. Provide guidance on AI governance, policies, risk identification, and contract protections. Keep current with AI-related laws and standard contractual provisions.
• Coordinate with Information Security and Privacy, and other stakeholders related to contract negotiations.
• Complete projects and tasks as assigned and provide general team support.
• Assist with development and maintenance of contract templates and standard provisions used by the team.

Qualifications & Experience

• 12 years of technology and commercial transactional experience at a law firm and/or in-house legal department. Some prior law firm experience is highly preferred.
• JD and active member of at least one US state bar, in good standing.
• Technically proficient lawyer with substantial experience in technology and commercial transactions; prior experience contracting for AI technologies and advising on AI matters is preferred.
• Strong drafting and negotiation skills to protect the company while delivering commercial results.
• Clear and concise communicator, able to present complex issues in a practical, commercially sensible way.
• Self-starter with a strong work ethic, able to work under pressure and manage multiple priorities in a fast-paced environment.
• Strategic thinker with good judgment and decision-making skills.
• Strong interpersonal and collaboration skills across levels within the company.
• Excellent attention to detail and strong organizational skills.

In compliance with local law, compensation information is disclosed where required. Pay Range: $157,500.00 - $292,500.00 salary per year. Base pay is one component of Warner Bros. Discovery’s total compensation package, which may include bonuses and other rewards. The company also provides benefits such as health insurance, wellness program, life and disability insurance, retirement savings, holidays and vacation.
