Commercial Counsel (Government Contracts)
Base pay range: $170,000.00/yr - $190,000.00/yr Responsibilities
Draft, review, and negotiate a variety of commercial agreements, including government contracts, subcontracts, teaming agreements, NDAs, and licensing agreements. Advise internal stakeholders on legal and regulatory requirements related to government procurement, including FAR, DFARS, and other applicable laws. Support proposal development and contract lifecycle management, ensuring compliance with solicitation requirements and internal policies. Provide legal support for audits, investigations, and disputes involving government entities. Collaborate with cross-functional teams including Sales, Finance, Compliance, and Program Management to ensure contract execution aligns with business objectives and regulatory obligations. Monitor changes in government contracting regulations and communicate implications to relevant teams. Assist in the development and implementation of policies and training programs related to government contracting and compliance. Support M&A due diligence and integration activities involving government contracts. Qualifications
Juris Doctor (JD) from an accredited law school; active bar membership in good standing. 5+ years of legal experience, with a strong focus on government contracts in a law firm or in-house legal department. In-depth knowledge of FAR, DFARS, and other federal procurement regulations. Experience supporting commercial transactions in both public and private sectors. Experience with GSA schedules, IDIQ contracts, and SBIR/STTR programs. Familiarity with export controls (ITAR/EAR) and cybersecurity requirements (e.g., CMMC). Background in technology, defense, aerospace, or professional services industries. Seniority level
