Position Summary

The General Counsel (GC) will support the Chief Financial Officer in managing the firm’s legal, regulatory, and governance obligations. The GC role will be central to shaping legal strategy, ensuring compliance, enabling complex transactions, and mitigating risk across our global platform. This role will provide critical guidance on regulatory and transactional matters, partner with cross-functional teams, and help drive the continued growth and integrity of the organization within the highly dynamic private markets sector. This position involves hands-on legal work across fund structuring, securities law, public company reporting, and corporate governance, while serving as a key legal advisor to senior business leaders. The GC will manage a wide range of legal matters independently, will act as a thought partner to Executive Management, the Board of Directors and other stakeholders and will oversee outside counsel and/or junior legal staff. Key Responsibilities

Public Company Compliance Oversee SEC, NYSE and public company reporting obligations, including 10-K, 10-Q, 8-K, proxy filings, and Section 16 compliance. Manage corporate governance policies, insider trading programs, and support the Board and its committees. Partner with the CFO and finance team on earnings releases, investor presentations, and disclosures, including preparation for annual meeting of stockholders to prepare executive compensation disclosure, advise on any stockholder proposals and manage preparation for the annual meeting. Monitor and maintain awareness of pending developments and trends in SEC reporting, corporate governance, and views of institutional shareholders and ISS/Glass Lewis. Transactional Support Provide legal guidance on M&A, joint ventures, capital markets activity, and fund formation. Negotiate and draft complex investment, advisory, and service agreements. Identify and mitigate legal risks across business lines. Manage litigation, claims, and disputes with external counsel as needed. Advise on executive compensation, benefits and HR-related matters. Corporate Governance & Ethics Serve as corporate secretary and oversee corporate governance initiatives. Ensure the company's policies and procedures align with legal requirements and best practices. Maintain and update the company’s policies and procedures, including the Employee Handbook, code of conduct, whistleblower, and conflicts of interest protocols, in accordance with legal requirements and best practices. Prepare and review meeting materials for Board and committee meetings, including agendas, resolutions, minutes, slides, memoranda and related materials. Build and manage a lean in-house legal team and external legal counsel relationships. Requirements

J.D. from an accredited law school; active bar membership (preferably in TX or NY) 10+ years of relevant legal experience, including: Asset management and/or investment fund legal experience Experience in a public company or advising public companies SEC and financial services regulatory expertise Prior in-house experience highly preferred; private practice experience at a top-tier law firm also valuable Strong knowledge of investment structures (e.g., LPs, SMAs, BDCs, REITs, ETFs, etc.) Excellent judgment, communication, and business acumen Ability to work cross-functionally in a fast-paced, entrepreneurial environment Strategic Vision: Ability to see the big picture and provide proactive legal solutions aligned with business strategy. Leadership: Inspires confidence and fosters collaboration within the legal team and across the enterprise. Business Acumen: Understands financial statements, capital markets dynamics, and the core drivers of private markets solutions. Communication: Exceptional written and verbal skills, capable of influencing at all levels of the organization and with external stakeholders.
