Base pay range $450,000.00/yr - $525,000.00/yr
The Client The Firm of John Dickinson Schneider, Inc. ("JDS") is a 100-year-old group of companies including independent businesses operating under various names globally. JDS’s medical product development and manufacturing businesses are grouped under Hollister Incorporated ("Hollister"), an independent, employee-owned company that develops, manufactures, markets and sells healthcare products and services worldwide. Hollister’s principal product lines are in Ostomy and Continence Care, with manufacturing and distribution in the United States, Europe and Asia. The Position The JDS General Counsel ("GC") will serve as the global chief legal advisor to JDS. The GC will demonstrate sound judgment, confidentiality and discretion, and will be responsible for all legal matters, ensuring compliance with applicable laws and regulations worldwide.
The GC will guide the CEO, executive team and Board on legal strategy, risk management, governance and regulatory issues, and will serve as a corporate officer and key member of the JDS leadership team. The General Counsel will manage the law department and collaborate with external counsel as needed. JDS supports a hybrid working model with three days per week in the headquarters located in Libertyville, Illinois.
Responsibilities
Attend Board meetings and provide proactive legal counsel to the CEO and Board, advising on corporate structure, board operations and shareholder relations, ensuring compliance with governance standards.
Lead and manage the law department, including people, matters and budget.
Participate as a key member of the JDS leadership team.
Oversee compliance with federal, state and local laws; manage internal audits and investigations; monitor changes in applicable laws and regulations.
Identify and mitigate legal risks; develop policies and procedures to minimize risk exposure.
Manage and/or oversee all litigation and pre-litigation matters; work cost-effectively with outside counsel.
Review, draft and negotiate contracts (vendor, employment, partnership); support mergers and acquisitions and other corporate transactions; conduct due diligence and post-transaction integration.
Protect and enhance the company’s intellectual property portfolio; manage trademarks, patents, copyrights and trade secrets.
Provide legal support for human resources issues, including employment law, labor relations and benefits.
Qualifications
J.D. from a leading law school; MBA desirable.
At least 20 years of relevant legal experience, with both law firm and in-house practice, preferably in a global healthcare manufacturer; experience in corporate governance, contract, IP, employment, litigation, anti-corruption and data privacy.
Experience advising a Board of Directors; business development experience a plus.
Proven ability to lead and develop a legal team, including budget management.
Strong knowledge of global healthcare laws and regulations, including the U.S. FCPA and data privacy laws.
Cross-cultural communication skills and the ability to provide practical, business-focused counsel across jurisdictions.
Ability to travel internationally as needed to support European operations.
License to practice law and in good standing to practice as in-house counsel in Illinois.
Compensation and Benefits The anticipated base salary range is $450,000–$525,000. Total rewards include competitive pay, benefits, PTO, wellness programs and incentives. Actual salary varies based on education, experience, skills, and other legitimate business factors.
