Overview Meta is seeking an experienced Lead Corporate Counsel to join the Legal department’s corporate team.

Assist with preparation of SEC and other corporate regulatory filings, with emphasis on proxy statements
Advise on complex securities law compliance and disclosure matters, with emphasis on governance and investor-facing disclosures
Support shareholder engagement efforts, including with respect to Rule 14a-8 proposals, and coordination of annual shareholder meeting
Assist in corporate governance matters, including oversight of corporate policies and preparation of board and committee materials
Work with cross-functional teams to build and enhance internal processes
Coordinate with and manage outside corporate counsel
Distill complex legal matters into actionable advice
Minimum Qualifications
J.D. degree (or foreign equivalent)
Active membership in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned work location)
5+ years of legal experience as a practicing attorney, including at a law firm and/or in-house or government experience
Demonstrate business judgment and client counseling skills
Effective communication skills
Corporate and transactional experience with public companies. Emphasis on SEC and regulatory compliance, corporate governance, and shareholder engagement
Experience leveraging organizational and communication skills and strategic thinking, and experience working both independently and with cross-functional teams
Demonstrated pattern of roles with increasing responsibility
Experience operating independently in a fast-paced environment and work proactively with various teams across the organization, including policy, investor relations, corporate communications, and finance
Preferred Qualifications
In-house experience and prior AmLaw 100 law firm experience
Demonstrated experience working on complex securities and corporate matters for Fortune 100 companies
