Core Responsibilities:
As a Corporate Paralegal, you will: Research and Compliance : Investigate state statutes, local codes, and Secretary of State requirements for business filings, including formations, amendments, dissolutions, and licenses. Document Preparation : Draft and file securities documents such as Section 16, Form ADV, Form ID, and Form D, as well as IRS forms like SS-4, 2553, 2848, and 8869. UCC Management : File UCC financing statements, conduct lien searches, and review UCC documents for corporate transactions. Entity Management : Maintain and support large portfolios of national and international corporate entities across multiple clients. Transaction Support : Prepare for closings by organizing signature pages, confirming checklists, delivering documents, and compiling closing sets. Maintain minute books and assist with Corporate Transparency Act filings. Technology Proficiency : Use virtual data rooms and cloud software to manage documents efficiently. Problem Solving : Execute detailed project tasks and provide creative solutions to meet client needs. Mentorship : Guide and support practice group assistants, fostering a collaborative team environment. Regulatory Updates : Stay current on local, state, and federal regulations to ensure compliance and efficiency. Administrative Excellence : Manage priorities effectively, meet deadlines, and maintain meticulous records of time and tasks. Requirements:
