Base pay range
$100,000.00/yr - $110,000.00/yr The Corporate paralegal will provide support to two outsourced senior corporate paralegals. Work involves assisting with all aspects of general corporate matters for a Private Family Office Investment company. Key Responsibilities: Handle corporate maintenance for enterprise entities including management of minute books and preparation of annual resolutions for corporations and limited liability companies. Prepare and file Annual Reports or such other statutory filings for all domestic and foreign jurisdictions of parent and subsidiary entities. Responsible for review and updating of various entity and property lists for corporate legal department. Responsible for preparing and filing foreign registration and foreign cancellation documents. Review operating agreements, management agreements and other ancillary agreements. Review closing clips re: refinance, acquisition, disposition and joint venture transactions and update minute books with corporate documents formed in connection with such transactions. Responsible for the electronic availability of corporate records for all entities. Provide and assist with administrative tasks including: review internal company agreements and policies; document copying and scanning, proofreading, redlining documents, drafting correspondence, and making labels and organizing binders.
