Day-to-Day One of our religious affiliated financial clients is looking for a Senior Contracts Counsel to join their team sitting in Midtown Manhattan 3x a week. On a daily basis the Contracts Counsel will work on a broad range of complex and sensitive legal and business issues to give real-time analysis and practical advice. They will manage multiple priorities across the different units of the organization, such as vendor management, publishing, property & casualty, technology, and benefits. The Contracts Counsel role is not only to serve as legal counsel to the business units and corporate units for a wide range of commercial and corporate contracts with an emphasis on contract review and support, but to lead a cross functional effort to create contract workflows, create efficiencies in vendor management and an implementation strategy. They will most commonly work on Business contracts creating standard business terms and/or negotiating special terms, regulatory compliance, and creation of standard client boilerpate terms. They will collaborate closely with internal stakeholders, subject matter experts and the privacy team on legal and business risks, compliance, and contract strategy to ensure alignment with applicable laws and internal policies. Essential Duties and Responsibilities
Draft, review, and negotiate commercial contracts including complex SaaS and data technology-related agreements (cloud, cybersecurity, software licensing) and third-party consulting contracts Collaborate closely with the vendor management team to develop standard vendor contract templates and SLA terms Collaborate closely with the vendor management team to create and implement a contract and vendor management strategy and improve knowledge management practices, documenting necessary policies and procedures Collaborate closely with the vendor management team to conduct due diligence, contract reviews and risk assessments, identifying non-compliance issues and mitigation strategies Collaborate closely with internal stakeholders, subject matter experts and the privacy team on legal and business risks, compliance, and contract strategy Demonstrate strong contract drafting and negotiation skills with a business-centric mindset and a clear ability to translate business needs into practical legal solutions Excellent communication skills with the ability to communicate with stakeholders in a clear, understandable way Comfortable working autonomously but collaboratively, with a high level of personal accountability, able to make decisions in a fast-paced and demanding environment Highly effective at building and maintaining strong cross-functional, internal relationships and with outside counsel Demonstrated resilience, resourcefulness, and self-confidence with a high degree of personal integrity Equal Employment Opportunity

5+ years of relevant experience in a law firm and/or in-house legal department Strong background in SaaS/data technology, health care and pension third party service providers, and general commercial contracts Skilled in contract management, problem-solving, strategic negotiations, with a deep understanding of risk allocation and mitigation and regulatory frameworks J.D. from an accredited U.S. law school Qualified attorney with active license to practice law in New York Proficiency in MS 365 suite of applications including but not limited to Word, SharePoint, and Excel Plusses Familiarity with U.S. data privacy laws (e.g. HIPAA, CCPA, CIPA) is a bonus Coming from an insurance, annuities, benefits, disability, and/or financial background null We are a company committed to creating diverse and inclusive environments where people can bring their full, authentic selves to work every day.
