General Counsel position for University Enterprises, Inc. (UEI) at California State University, Sacramento. UEI is a nonprofit auxiliary organization serving the university community with grant and contract management, fiscal services, and related operations. Base pay
$12,917.00/yr - $17,158.00/yr Responsibilities
Provide a variety of legal and risk management services and guidance supporting the UEI board of directors, administrators, and UEI operating units (dining, bookstore, real estate, sponsored programs administration, California Intern Network, human resources, and general administration). Advise on board governance, policies, grants and contracts compliance, OMB Uniform Guidance, and applicable laws (federal, California State, CSU policies). Draft, review, and negotiate contracts, leases, interagency agreements, licenses, and related documents to ensure compliance with law and policy. Track legal matters, changes to codes/laws/policies, and best practices; liaise with external counsel as needed. Monitor insurance requirements, risk management, and internal policies; assist with special projects such as real estate development benefiting Sacramento State. Review sponsored program agreements for compliance and create contract templates. Attend meetings with campus personnel and clients to provide legal assistance as appropriate. Develop and revise internal policies; provide training and guidance to management on compliance and risk management. Administer UEI’s compliance with open meeting laws and public records provisions; prepare presentations and trainings for UEI governance bodies. Advise the Executive Director on litigation matters and coordinate with outside counsel; stay current on applicable laws and CSU policy that impact UEI. Other job-related duties as assigned. Minimum qualifications
Juris Doctorate from an American Bar Association-accredited law school. At least ten (10) years of legal experience, including at least four (4) years as in-house counsel to a corporation or governmental entity, licensed in California. Experience supervising other attorneys. Active member of the California State Bar in good standing. Excellent written and oral communication and organizational skills; strong negotiation skills. Self-motivated with ability to set priorities and meet deadlines. Must be fingerprinted and pass a background check and continue to meet standards. Preferred qualifications
Experience advising a California State University auxiliary organization. Experience as first chair in general civil and business litigation. Experience in employment law and in the academic environment; ability to work with Board of Directors, university administration, CSU Chancellor’s Office counsel, staff, students, and the community. Physical requirements and working conditions
