Overview

OpenTeams Incubator is looking for a detail-oriented and self-driven remote full-time Corporate Counsel to support our expanding organization. This is a hands-on role ideal for someone who thrives in a fast-paced environment and is excited to be part of a scaling tech company. You will work closely with leadership and will contribute to shaping strategy. This role comprises a mix of corporate governance, M&A, fund compliance, commercial contracting, privacy/data policy, and international issues. Applicants should reside in the United States and be able to collaborate with co‑workers in the US time zones. Responsibilities

Advise on and prepare corporate documentation related to equity interests (including employee incentive plans, SAFEs, convertible notes, warrants, and cap table management), board and shareholder meetings, and corporate organization and structure for a multi-entity ecosystem. Provide guidance on Delaware corporate law (DGCL) considerations and corporate regulation compliance. Advise on shareholder relations and identify/address conflicts of interest within affiliated entities as the organization grows. Establish and manage multiple entities with diverse business needs, including support through early growth stages. Advise on general corporate regulation compliance and corporate lending. Mergers & Acquisitions (M&A)

Structure M&A activities for external acquisitions and internal consolidation to streamline the corporate structure. Financial Regulation & Compliance

Advise on compliance for unregistered investment offerings and other SEC issues as the legal team supports venture funds. Set up and manage investment vehicles and advise on investor relations. Commercial Contracting

Advise on service contracts (prime and subcontractor), government and private grants, confidentiality agreements, employment agreements, and independent contractor agreements. Reshape terms and conditions to accommodate open-source materials where appropriate. Privacy & Data

Experience with privacy notices across websites and internal data policies, including data sharing across affiliates and international borders. Tax & International

Understand tax consequences, policies, and potential pitfalls; experience with international efforts and various investment vehicles. Grow With Us
