VP of General Counsel & Corporate Secretary Position summary: Milan Laser Hair Removal is seeking a VP, General Counsel and Corporate Secretary who will provide legal, regulatory and compliance oversight to support strategic objectives and align business goals with legal risk management. The VP will serve as a liaison to the Board of Directors, facilitating corporate governance and strategic decision-making. Location: Omaha, Nebraska - Onsite. Responsibilities

Legal Oversight and Compliance: Oversee contracts, intellectual property, privacy, regulatory compliance, employment law, mergers and acquisitions, and consumer finance. Ensure compliance with applicable laws and regulations across all operations. Monitor legislative and regulatory developments and advocate for interests with authorities. Lead cross-functional compliance efforts to align with standards. Advise on employment law matters including wage and hour compliance, employee classifications, compensation, immigration, and internal investigations. Corporate Governance: Collaborate with the Board of Directors, draft resolutions, document minutes, advise on governance, prepare for public company readiness, and facilitate governance practices to support growth and integrity. Strategic Counsel: Provide legal advice and practical solutions for new ventures, including Athens Hair Restoration and Only Injectables. Advise on complex transactions including mergers, acquisitions and partnerships. Partner with leadership to balance legal risks with business objectives. Litigation and Dispute Resolution: Oversee litigation processes, negotiate and resolve pre-litigation disputes, and work with external counsel for cost-effective representation. Team and Vendor Management: Lead and develop a legal team, establish efficient systems, and manage relationships with external counsel and vendors, ensuring quality and cost control. Other Duties: Perform additional tasks as needed to support objectives. Qualifications

Juris Doctorate from an accredited law school with strong academic credentials. Bar membership in good standing with eligibility for Nebraska in-house counsel registration. Minimum of 10 years of legal experience in a top-tier law firm or corporate department dealing with healthcare, corporate, contracting, compliance and/or business transactions. Expertise in corporate governance, healthcare law, SEC reporting, mergers and acquisitions, and compliance (preferred). Experience leading projects, directing others and advising on implementing sound legal, regulatory and corporate compliance solutions. Experience drafting transactional documents, license agreements, and negotiating sophisticated agreements. Proficiency in Sarbanes-Oxley compliance and securities laws (35 Acts) preferred. Strong writing, presentation, and negotiation skills. Significant exposure in corporate governance, securities, SEC reporting, FINRA, and M&A transactions and compliance. Benefits
