We are seeking an Experienced Commercial Counsel to join our global Legal team. This role serves as a key business partner with primary responsibility for negotiating and managing complex commercial contracts that underpin our growth. You will be the first point of contact for contract-related matters and will support broader legal and compliance needs across the business. Key ResponsibilitiesCommercial Contracts (Core Focus)
Draft, review, and negotiate a wide variety of agreements, including SaaS subscriptions and software licensing, professional services and consultancy, reseller, channel partner, alliance, supplier, and vendor contracts. Prepare and negotiate confidentiality and data processing agreements; advise on contract structures, risk allocation, and negotiation strategy to support business objectives. Partner with Sales, Procurement, and Finance to streamline contract workflows and ensure timely deal closure. Drive improvements in contract lifecycle management, including the adoption of legal technology tools. General Legal & Compliance Support Provide practical, business-focused legal advice across departments. Support compliance with global data protection, anti-bribery, export control, and other regulatory frameworks. Assist with corporate governance, subsidiary management, internal policies, intellectual property matters (licensing, trademarks, copyright), HR employment agreements, and policy matters as needed. Manage disputes and pre-litigation issues, coordinating with external counsel when required. Develop and deliver training for business teams on contract and compliance best practices. Promote risk awareness and empower commercial teams to engage more confidently with legal processes. Contribute to scaling legal operations in line with Energy Exemplar’s global expansion. Qualifications Qualified lawyer (JD, LLB, or equivalent) with admission to practice in at least one jurisdiction. 5–8 years’ experience in commercial law, with a strong focus on drafting and negotiating SaaS/software contracts. Demonstrated ability to balance legal risk with commercial objectives in a fast-paced environment. Strong knowledge of intellectual property, data privacy, and compliance frameworks. Excellent negotiation, drafting, and communication skills. Collaborative, business-minded, and solutions-driven approach.
