Divisional Overview Powai LCC broadly covers Legal, Compliance and Conduct, and is responsible for building a robust risk and control framework. The Powai LCC teams support Nomura Powai entities, as well as LCC teams globally to ensure effective risk management of Legal, Compliance and Conduct related risks for the firm. Powai Legal comprises Corporate Legal and Transactional Legal functions, providing advice on corporate, employment and transactional matters. The Offshore Legal team supports global teams on corporate and secretarial matters, Global Markets, and Masters documentation related requirements. Powai Compliance comprises Core Compliance, Trade Surveillance, Electronic Communication Surveillance, Financial Crime Monitoring, Control Room & Disclosure Monitoring and Employee Compliance, providing advisory and operations support to global/regional Compliance teams driven by global/regional policies and regulatory expectations. Business Unit Overview The legal department provides support to the India businesses and globally. Support areas include IT, HR, ESS and Facilities, litigation, Real Estate, Employment Law, Corporate Secretarial, bond issuances, syndicated lending mandates, margin financing transactions, M&A advisory mandates, other industry agreements, and drafting and negotiation of prime brokerage and various commercial agreements. LLB / CS / LLM Role & Responsibilities Drafting, reviewing and negotiating a wide range of commercial contracts and related documents of various jurisdictions including India, APAC, EMEA and US including IT and e-commerce related agreements, Market Data and Subscription and Publication Agreements, terms and conditions for sale and purchase of goods and/or services, service agreements and maintenance contracts. Liaising with relevant business stakeholders for approval on risks/deviations and responding to queries related to agreements/legal matters. Identifying and highlighting risks and liaising with stakeholders for approval on risks/deviations. Providing commercially savvy legal advice based on in-depth research and applicable law provisions; keeping abreast of changing laws and regulations. Providing management reports and advising on queries from business and legal teams related to agreements. Liaising with stakeholders, regional lawyers and business partners globally. Qualification Mandatory Domain / Technical Qualified Law graduate with at least LLB degree. 5-11 years of demonstrated experience in commercial contracts. Excellent communication, drafting and negotiating skills with understanding of Indian laws relating to employment, real estate, data privacy and related compliance. Strong analytical and legal skills, attention to detail. Good team player with knowledge of various Indian laws. Interpersonal Maturity in dealing with senior stakeholders. Well organized in data and record management. Excellent written and oral communication in English; ability to present effectively. Resourceful, solution-oriented and a good team player. Ability to manage multiple tasks and prioritize time management; ability to identify issues and escalate appropriately.
