Overview

RWE Clean Energy, LLC seeks a Counsel II - Real Estate & Permitting Law to provide legal support to the U.S. renewable energy business team (wind, solar, and battery) in connection with the development and construction of projects primarily in the East Region and the Tennessee Valley Authority service area. Location: Austin, TX; Chicago, IL; and other RWE Clean Energy offices as needed. This is a full-time, permanent, office-based role with some travel (approximately 5%). Functional area: Legal / Compliance. Remuneration: Exempt. Hours and alert preferences are managed per system settings. Responsibilities

Provide legal advice on real estate topics related to development and construction of renewable energy projects, including leases, easements, purchase options, co-tenancy agreements, shared facilities agreements, crossing agreements, and permitting agreements. Review title documents, resolve title issues, negotiate title insurance policies, and collaborate with support staff and business partners to secure land and development rights. Support discretionary local and state zoning processes for renewable development projects. Align with the Legal Department teams in Austin and Chicago (travel up to ~5%), and with business partners supported by Legal; apply practical, business-focused legal solutions. Lead and delegate to paralegals, real estate specialists, and administrative staff to ensure efficient workflow. Role Responsibilities

Maintain a big-picture view of project development and construction timelines; identify risks and provide feedback to the leadership team on project readiness. Proactively resolve real estate and permitting challenges with practical, risk-mitigating solutions. Partner with title companies and surveyors to secure pro forma title commitments and deliverables on schedule. Conduct comprehensive review of ALTA surveys to identify curative items and construction obstacles. Draft, review, and negotiate real estate documents; analyze counterparties and develop pragmatic resolutions balancing business needs with risk management. Facilitate property acquisitions for substations, BESS sites, and O&M buildings. Identify curative items for projects and coordinate with third-party utilities, banks, and others for crossing agreements, SNDAs, or other items. Coordinate with engineering, development, procurement, and transmission teams to align milestones and provide updates on real estate and permitting risks. Ensure timely acquisition of required permits to support development, construction, and operation; identify permitting needs with external counsel and support the development team in securing approvals. As projects move to construction, work with legal leadership to identify and resolve risks and assess construction approval. Ensure readiness for tax equity investor involvement; collaborate with the structured finance team to answer diligence questions, create data rooms, and contribute to transaction documents and disclosure schedules. Qualifications

J.D. degree from a U.S. university and admission to a state bar. Minimum 5 years’ experience as a real estate development lawyer, preferably in renewable energy; experience with solar, battery, and/or wind real estate matters is preferred. Familiarity with energy transmission, interconnection agreements, local government permitting, and negotiation of tax abatements and special use permits is helpful. Strong interpersonal and relationship-management skills; ability to work with internal teams, external counsel, title companies, surveyors, utilities, and counterparties. Adaptable, able to work in rapidly changing environments; strong leadership, communication, and deadline-oriented capabilities. Highly organized with the ability to manage multiple projects and priorities; capable of working independently and as part of a team. Motivated self-starter with problem-solving abilities and the willingness to learn about the company and the renewables space. Ability to empathize, build relationships across diverse backgrounds, and be coachable. Office-based role with travel to New York, California, Chicago, and Austin. Must be able to sit, walk, or stand for long durations. Compensation and Benefits

Pay range:

The annual base salary range for this position in Illinois is $150,000-$184,000. This range represents a good faith estimate and varies by location, scope, experience, and market considerations. Benefits offered:
