Opportunity for an experienced corporate/commercial generalist to work with the senior management team and provide legal support to the operations of a private-equity owned company with operations in Canada and the U.S. Under the supervision of the Senior Director of Legal Affairs, the Legal Counsel: Advising business units on current legal matters while managing risk; Drafting and negotiating general corporate and commercial documents, as well as doing mergers and acquisitions work; Monitoring compliance and regulatory matters. Responsibilities

Advising business units on current legal matters while managing risk: Provide advice and legal support to the business units, including Operations, IT and Finance. Clearly and concisely communicate legal risks of proposed actions and propose solutions. Understand how negotiations and agreements align with the company’s strategic plan. Drafting and negotiating general corporate and commercial documents, as well as doing mergers and acquisitions work. Draft and review general commercial contracts, including industry-specific agreements. Review procurement contracts, including commercial leases, contracts for IT solutions and high value assets among others. Assist managers and outside counsel with negotiations. Negotiate confidentiality agreements, letters of intent and actively participate in due diligence / negotiations, drafting / review of transaction documentation and post-closing integration. Draft and review MoUs and JV agreements. Monitoring compliance and regulatory matters. Assist with ongoing administration and compliance of company policies and procedures with applicable US laws. Prepare and manage compliance of company with regulatory agencies and applicable US laws. Qualifications

Member of the Texas Bar. Proficiency in Microsoft 365 tools. Document Management Software. Fluent in English, spoken and written. French or Spanish would be an asset. Capacity to see the global picture, while remaining detail-oriented and pursuing the business objectives. Excellent interpersonal skills to communicate clearly and effectively with internal groups and externally with stakeholders and service providers. Strong legal drafting and problem-solving skills; ability to identify win-win solutions. Strong customer service orientation. Ability to deal with and quickly grasp complex and delicate situations. Strong team player and collaborator. Ability to prioritize, manage and execute a high volume of matters simultaneously and with rigor. Location: Houston, TX
