Overview Assistant General Counsel - Transactional role at the State Bar of California. This position is with the Office of General Counsel (OGC). The OGC provides in-house counsel services, including representation in courts and before administrative agencies, and legal advice to the State Bar Board of Trustees and other entities.

Base pay and work arrangement Office of General Counsel – Annual Salary Range: $140,123 - $231,023. FLSA: Exempt / Non-Union Represented. This position allows for up to four days of remote work per week.

About the Office The Office of General Counsel (OGC) is in-house counsel to the State Bar, providing representation in state and federal courts and before administrative agencies; advocacy of State Bar discipline and admission cases; and legal advice to the Board of Trustees, executives, and programmatic clients. OGC handles litigation, admissions and discipline, antitrust, governance, regulatory matters, contracts, real estate, and general corporate matters, among other areas. Attorneys may work on requests for a second look of disciplinary complaints closed by the Office of Chief Trial Counsel.

The Ideal Candidate OGC seeks an attorney with a strong background in transactional and advisory matters, preferably in the public sector. The ideal candidate will have experience negotiating and drafting a wide range of contracts, advising on contract terms, identifying and mitigating legal risks, and advising on procurement processes. Experience with insurance-related matters, including reviewing insurance policies and coordinating with insurers or brokers, is desirable. Public agency experience and familiarity with laws such as the California Public Records Act, Political Reform Act, Bagley-Keene Open Meeting Act, Government Claims Act, governance, and interpretation of rules and regulations are preferred.

Examples of Essential Duties Attorney III

Maintains close working relationships with Management, subject matter supervisors, and team members to perform duties and responsibilities.

Coordinates the work of other staff and may participate in training of personnel.

Handles complex matters with the expectation of producing favorable results.

Handles litigation matters, including responding to complaints, discovery, motions, and hearings, up to trial.

Conducts second-look reviews of complaints closed without action and recommends further actions as appropriate.

Studies, interprets, and applies laws and prepares legal documents, pleadings, memoranda, reports, opinions, and other materials.

Prepares for and completes cases, projects, and presentations of a more complex nature.

Coordinates with other attorneys, volunteers, and stakeholders.

Ensures timely preparation and completion of investigations, cases, or legal projects.

Keeps subordinate staff informed of applicable law, rules, procedures, policies, and practices.

May participate in policy formulation and advise on human resources issues.

Evaluates administrative problems and recommends solutions.

Advises management and provides guidance to lower-level attorneys and staff.

Performs other duties consistent with the job’s responsibilities.

Attorney IV

Handles innovative and highly specialized legal matters, providing guidance to attorneys and staff in research and application of complex legal principles.

Develops and delivers training in areas of expertise.

Responsible for highly complex matters, including complex litigation, with favorable results expected.

Performs second-look reviews of complaints closed by the Office of Chief Trial Counsel and recommends further action as appropriate.

Studies and applies highly complex laws and prepares corresponding materials.

Develops strategy for handling assigned cases, including litigation.

Prepares for and completes highly complex cases and presentations.

Coordinates with attorneys, staff, volunteers, and stakeholders.

Ensures timely preparation and completion of investigations, cases, or projects.

Stays informed and informs subordinates of applicable laws and procedures.

Takes a principal role in management policy and advises on human resources.

Evaluates administrative problems and develops solutions.

Performs other duties as assigned.

Minimum Qualifications Attorney III

Education: Juris Doctorate Degree from an accredited law school.

Experience: Minimum of four (4) years progressively responsible experience in litigation and/or legal advice, demonstrating the knowledge and skills for this position.

Demonstrated reputation for integrity with no history of disciplinary offenses.

License, Certificate, and Registration: Must be an active member, in good standing, of the State Bar of California.

Attorney IV

Education: Juris Doctorate Degree from an accredited law school.

Experience: Minimum of five (5) years progressively responsible experience in litigation and/or legal advice.

Demonstrated reputation for integrity with no history of disciplinary offenses.

License, Certificate, and Registration: Must be an active member, in good standing, of the State Bar of California.

Applicants who meet the Minimum Qualifications will be required to successfully complete the State Bar’s selection process for this classification.
