We are looking for part-time (20-25 hrs per week) General Counsel/Commercial Attorney to join our team. Responsibilities

Contract Drafting and Review: Draft, review, and negotiate various commercial contracts, including but not limited to confidentiality agreements, terms and conditions, sales agreements, licensing agreements, vendor contracts, and partnership agreements. Ensure contracts are legally sound, protect the company's interests, and comply with relevant laws and regulations. Legal Compliance: Stay up-to-date with relevant laws and regulations in the industry and jurisdiction; develop and implement compliance programs and policies; provide guidance on regulatory matters, data privacy, and intellectual property protection; identify legal risks and mitigate them. Corporate Governance: Ensure compliance with corporate governance principles; assist with board meetings, record-keeping, and corporate filings; work with outside IP counsel to manage IP assets (trademarks, copyrights, patents); conduct IP searches and evaluations and pursue registrations or litigation as needed. Mergers and Acquisitions: Provide legal support during mergers, acquisitions, and other corporate transactions; conduct due diligence, negotiate terms, and assist with integration; collaborate with external counsel for litigation when necessary. Dispute Resolution: Attempt to resolve disputes through negotiation and alternative dispute resolution methods before litigation. Training and Budget: Conduct employee training on legal and compliance matters; manage the legal department budget, including external legal expenses. Collaboration: Report to the CSO; cross-over responsibilities with a local family office as time allows. Qualifications

Minimum 4 years proven general counsel experience in a business environment. Juris Doctorate and CA bar license. Broad legal knowledge (corporate law, trademarks/copyrights, employment, etc.) with an understanding of how legal issues affect organizations. Ability to develop legal strategy and objectives; strong financial acumen; high professional ethics, integrity, and gravitas. Excellent interpersonal and communication skills; ability to operate effectively in a collaborative, dynamic environment. Compensation and Details

The pay range for this position is USD 90,000 - USD 110,000 per year; however, base pay offered may vary depending on job-related knowledge, skills, and experience. This is a part-time role, 20-25 hours per week in our Santa Monica office. Additional Information
