Duties: Advise clients on various LLC and partnership matters, including the formation of entities, complex LLC and partnership agreements, and joint ventures. Draft, review, and negotiate complex LLC agreements, including preferred returns and waterfalls. Handle complex partnership agreements, including California professional LLPs. Supervise and mentor junior attorneys and associates. Collaborate with fellow attorneys within the firm, engaging in cross-referrals and joint business development efforts. Participate in the firm’s marketing and business development initiatives, including client updates and blogs. Requirements: Juris Doctorate from an ABA-accredited law school. Active membership and good standing with the State Bar of California. Minimum 10 years of experience in LLC and partnership law, with a strong background in entity formation, complex agreements, and joint ventures. Ability to work independently while collaborating with a team. Highly motivated, proactive, and driven professional. Must be a California resident. Education: Juris Doctorate (JD) from an ABA-accredited law school. Certifications: Admitted to practice law in the State of California. Skills: Extensive knowledge of LLC and partnership law, including complex agreements and joint ventures. Strong interpersonal and communication skills.
