Overview RWE Clean Energy, LLC is looking to start as soon as possible for a full-time, permanent Counsel II - Real Estate & Permitting Law. Functional area: Legal / Compliance. Remuneration: Exempt.

Role The Counsel II will provide legal support to the U.S. renewable energy business team (wind, solar, and battery) in connection with the development and construction of projects primarily in the East Region—including NY, VT, MA, RI, CT, OH, VA, WV, MD, SC, NC, DE, PA—and within the Tennessee Valley Authority service area. The role focuses on real estate topics in the preparation and negotiation of real estate documents required for development and construction of renewable energy projects, including leases, easements, purchase options, co-tenancy agreements, shared facilities agreements, crossing agreements, and permitting agreements. Responsibilities include reviewing title documents, resolving title issues, negotiating title insurance policies, and collaborating with support staff and business partners to support real estate developers in acquiring land and development rights for prospective projects. There is also significant support for discretionary local and state zoning processes for renewable development projects. The position requires close alignment with the Legal Department teams in Austin, TX, and Chicago, IL (travel ~5%), alignment with business partners, and a practical approach to legal issues to find viable business solutions. Responsibilities

See the big picture of project development and construction timelines; identify open risks and provide leadership feedback on project readiness. Proactively resolve real estate and permitting challenges by identifying practical, risk-mitigating solutions. Collaborate with and delegate to paralegals, real estate specialists, and administrative staff to ensure efficient workflow. Partner with title companies and surveyors to secure pro forma title commitments and survey deliverables on schedule. Comprehensively review ALTA surveys to determine curative items and construction obstacles. Draft, review, and negotiate real estate documents (leases, purchase agreements, easements, crossing agreements); analyze counterparty positions and develop pragmatic resolutions balancing business needs with risk management. Facilitate the purchase of property for renewable project assets (substations, BESS sites, O&M buildings). Identify curative items for projects and coordinate with third-party utilities, banks, and others for crossing agreements, SNDAs, or related items. Coordinate with engineering, development, procurement, and transmission teams to align milestones and provide updates on real estate and permitting risks. Ensure timely acquisition of permits across multiple jurisdictions; collaborate with external counsel to identify permitting needs and support approvals. Work with legal leadership to identify and resolve risks as projects move to construction and assess construction viability. Support tax equity readiness; work with the structured finance team to answer diligence questions, create data rooms, and contribute to transaction documents and disclosure schedules. Requirements and Experiences

J.D. degree from a U.S. university. Admission to a state bar in the United States. Minimum 5 years’ experience as a real estate development lawyer, preferably in the renewable energy space. Specific knowledge in solar, battery, and/or wind real estate matters; familiarity with energy transmission, interconnection agreements, local government permitting, tax abatements, and special use permits is preferred. Submission of transmittal letter describing interest in the position is required. Strong interpersonal and relationship-management skills; ability to work with internal teams, external counsel, title companies, surveyors, utilities, and counterparties. Adaptable and effective in rapidly changing environments; demonstrated desire to learn about the company and renewables space. Strong leadership, communication, and deadline management abilities; highly organized with the ability to coordinate multiple projects and priorities. Ability to multi-task, work independently and as part of a team; motivated, self-starter, goal-oriented with strong problem-solving abilities. Proven ability to build relationships and communicate with diverse backgrounds; coachable and receptive to direction. This is an office-based role with some travel to other RWE offices and field locations, including New York, California, Chicago, and Austin. Physical ability to sit, walk, or stand for long durations. Compensation and Benefits

Pay range:

The annual base salary range for this position in Illinois is $150,000-$184,000. This range represents a good faith estimate for new hire salaries and factors in scope, education, experience, certifications, skills, market, and business considerations at the time of offer. Benefits offered:
