Duties And Responsibilities This position provides a variety of legal and risk management services and guidance supporting the UEI board of directors, administrators, and UEI’s operating units (including dining, bookstore operations, commercial real estate, sponsored programs administration, California Intern Network, human resources, and general administration). The role includes advising on matters involving board governance, organizational business and administrative policies, grants and contracts compliance, OMB Uniform Guidance, and compliance with California State law, CSU, Sacramento State and UEI policy and procedures. The position reports to the Executive Director. Specific duties and responsibilities include: Prepares and reviews legal documents such as general contracts, leases, operating agreements, interagency agreements, licenses, purchases, RFQ/RFPs, consultant/independent contractor agreements, student internship agreements, memoranda, and real estate documentation for compliance with law and policy. Keeps the Executive Director and management informed of legal matters, changes to codes, laws, and policies, and risk management considerations. Implements risk mitigation measures, including ensuring proper insurance coverage. Tracks and reviews certificates of insurance and endorsements for contractual compliance with CSU and campus standards. Provides administrative and legal guidance to management on contracts, transactions, operations, policies, dispute resolution, risk management, and operating guidelines. Assists with special projects such as real estate development to benefit Sacramento State. Reviews sponsored program-related agreements for compliance and creates contract templates. Attends meetings with campus personnel, customers, clients, and agencies as needed. Oversees internal reviews of business practices for legal compliance; drafts and revises policies; provides guidance to departments. Administers UEI’s compliance with open meeting laws and related statutes; prepares and conducts board trainings and presentations as directed. Advises the Executive Director on litigation and legal processes; coordinates with outside counsel; stays current on federal and California state law and CSU policy as they relate to UEI. Other duties as assigned. Minimum Qualifications
Juris Doctorate from an ABA-accredited law school. Minimum of ten (10) years of experience as an attorney licensed to practice in California, with at least four (4) years in-house counsel to a corporation or governmental entity. Experience supervising other attorneys. Active member in good standing of the California State Bar. Excellent written and oral communication and organizational skills; strong negotiation abilities. Self-motivated with the ability to prioritize, meet deadlines, and effectively allocate resources. Must be fingerprinted and pass a background check; must continue to meet standards. Preferred Qualifications
Experience providing legal counsel to a California State University auxiliary organization. Experience as first chair in general civil and business litigation. Experience in employment law and in navigating the academic environment, with the ability to build relationships with board members, management, faculty, CSU Chancellor’s Office legal counsel, staff, students, and the community. Conditions Of Employment This is a full-time, exempt from overtime, benefited position, covered under the California Public Employees’ Retirement System. Continued employment depends on mutual consent and the employment relationship can be terminated at any time, with or without cause.
