Overview The Lead Counsel II is a senior level position responsible for providing legal guidance and thought leadership to the business. The overall objective of this role is to provide legal support, advice, and guidance to the business. This role requires a pragmatic, proactive attorney with thorough understanding of the Business, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate. Provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions. The role involves assisting the Product Legal team within the Americas Markets Legal group covering the Futures and Derivatives Clearing (FDC) business of Citigroup Global Markets Inc. (CGMI). The attorney serving in this role will work closely with the Americas FDC Legal team to assist negotiators with complex negotiations of clearing, execution access, and give-up agreements; analyze proposed and existing CFTC, exchange, clearinghouse and National Futures Association rules; and assist Business and Operations in the onboarding of new accounts to ensure legal accuracy and that regulatory compliance procedures are adhered to.

Provide legal counsel to the Business, participate in strategic initiatives, offer subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advise management on legal matters impacting the business. Partner with legal peers to objectively evaluate business proposals by applying institutional knowledge and risk appetite against industry standards, regulatory guidelines, and best practices, escalating as appropriate. Collaborate across internal lines of business, control/support functions and external counsel to achieve coordinated and efficient outcomes on matters of common interest; coordinate with the Legal team on a regional and global basis. Contribute to BUSINESS planning and development initiatives; provide thought leadership using knowledge of industry, laws, and regulations to support business objectives. Identify, evaluate, and contribute to the appropriate management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, staying informed of relevant legal developments, participating in internal projects, and escalating as appropriate. Manage day-to-day legal activities as a subject matter expert in the area of responsibility and provide advisory services to business partners. Monitor management of complex legal issues and transactions, escalating when necessary. Assess risk when business decisions are made, with particular regard to the firm’s reputation and safeguarding Citi, its clients and assets, by driving compliance with applicable laws, rules and regulations; adhere to Policy; apply sound ethical judgment; escalate, manage and report control issues with transparency; supervise others and enforce accountability for maintaining these standards. Qualifications
2-4 years of relevant industry experience, preferably in financial services. Banking or financial industry experience, including laws related to banking regulations. Knowledge of international laws, regulations and practices; ability to stay updated on regulatory and legal environment, internal policies and industry trends affecting the business. Experience with complex deals; demonstrated ability to analyze issues and develop legal solutions. Effective communication and negotiation skills and ability to build and maintain trusted relationships. Excellent interpersonal, organizational and relationship management skills. Proven ability to apply sound judgment while managing assignments in a demanding, fast-paced environment. Bar license in good standing to practice law. Education
