Position Summary:
We are seeking an attorney to join our Legal team as a Compliance Counsel and Manager. This role is critical to ensuring our company maintains the highest standards of ethical conduct and regulatory compliance. The ideal candidate will have a strong legal background, experience in internal investigations, and a proactive approach to identifying and mitigating compliance risks in a fast-paced technology environment.
Key Responsibilities
Gap Analysis & Risk Assessment
Conduct comprehensive gap analyses of existing compliance programs against applicable laws, regulations, and industry standards.
Identify areas of risk and recommend enhancements to policies, procedures, and controls.
Incident Management
Respond to reports received through the company's ethics and compliance hotline relevant to the Company and its subsidiaries.
Triage, investigate, and resolve allegations of misconduct, including fraud, harassment, and other violations of company policy.
Internal Investigations
Lead and document internal investigations in collaboration with HR, IT, Legal and other relevant departments.
Prepare investigation reports and recommend corrective actions or measures.
Policy Development & Training
Draft, review, and update compliance policies and procedures.
Develop and deliver training programs on ethics, anti-corruption, and other compliance topics as requested.
Regulatory Monitoring & Reporting
Monitor changes in laws and regulations relevant to the company's operations.
Prepare compliance reports for General Counsel, senior leadership and regulatory bodies as needed.
Third-Party Risk Management
Support due diligence and monitoring of third-party vendors, partners, and contractors.
Ensure compliance with anti-bribery, export control, and other compliance requirements.
Cross-Functional Collaboration
Partner with teams across Legal, HR, IT, and Operations to embed compliance into business processes and collaborate with Global Compliance team headquartered at Advantest Corporation to cascade appropriate risk mitigation, policies, and processes.
Provide legal guidance on compliance-related matters and support audits and assessments.
This is a full-time position and intended to work primarily at Advantest America, Inc's headquarters in San Jose, CA in-office at least three (3) business days a week, and as meetings may require. Occasional evening and weekend work may be required as job duties demand to collaborate with international colleagues located in Europe or APAC regions. Limited travel domestically and internationally may be required from time to time and as directed by the General Counsel in support of responsibilities.
