This position is within the ATTORNEYS department at an Experienced, individual contributor level, reporting to the Director. The salary range listed is USD and represents the annual base range; actual compensation may vary based on location, market, and candidate qualifications. This role involves providing legal counsel to Xerox’s Total Rewards group on employee benefits and executive compensation, and requires strong communication and collaboration in a fast-paced environment. Provide legal advice to the organization on complex issues in ERISA and non-ERISA employee benefit plans, executive compensation, proxy CD&A, and plan fiduciary responsibilities. Draft and review plan documents, board resolutions, and plan amendments; provide counsel on new benefit plan designs and implementation. Provide ongoing health and welfare benefit plan, qualified retirement plan, and ERISA regulatory compliance counseling. Advise benefits committees on roles, ensure fiduciary training, and perform related corporate governance responsibilities. Oversee legal aspects of the Company’s executive and director compensation programs; engage with the Compensation Committee of the Board of Directors, attend meetings, and serve as Secretary. Manage legal issues related to the global equity compensation program; advise on compensation-related shareholder proposals. Collaborate on proxy (CD&A) drafting and disclosure; advise on 409A and deferred compensation concerns. Negotiate and draft benefit plan vendor contracts; work with internal and external counsel on ERISA litigation as needed. Support lobbying efforts pertaining to legislative, regulatory, and case law developments affecting executive compensation, benefits, ERISA, and tax; interpret how changes may impact benefit plans. Interact with cross-functional teams including Global Total Rewards, Accounting, and Finance; provide counsel for corporate transactions or due diligence with benefit plan implications. Perform other duties as assigned. Requirements
Minimum of 8 years of experience as an attorney practicing in employee benefits and executive compensation. Deep knowledge of ERISA and related tax laws; ability to provide proactive and practical advice in a clear and concise manner. Strong organizational skills with demonstrated ability to manage multiple tasks; excellent client relations and communication skills. Bachelor’s and Juris Doctor (JD) degree from a nationally recognized institution; preferably in the top 25% of graduating class. Admission in good standing to at least one state bar. Ability to work independently as well as within a team; comfortable in a rapidly changing corporate environment. Familiarity with employee benefits issues in mergers and acquisitions, including ERISA-related due diligence and agreement review. Experience advising corporate executives and Board of Directors; ability to contribute to, influence, and lead cross-functional teams. Ability to work effectively in a fast-paced, collaborative environment and manage multiple priorities.
