About the Role
The Company is seeking a Corporate Secretary to provide essential legal support and guidance, ensuring the proper governance and compliance with all relevant laws, rules, regulations, and internal policies. The successful candidate will be responsible for advising the board of directors and senior management on corporate governance matters, acting as a trusted legal advisor, and overseeing the high-quality and timely distribution of materials. This role requires a Juris Doctor from an accredited law school, active membership in the NY State Bar, and relevant experience with corporate governance platforms. Knowledge of Delaware General Corporate Law and New York Banking law is essential, and proficiency in MS Office is required. As a Corporate Secretary, you will be expected to draft and review legal documents, support all aspects of board and committee meetings, and ensure the accuracy of corporate records. The ideal candidate will be highly organized, detail-oriented, and possess excellent communication skills. Experience in a corporate secretariat and governance role, as well as a Notary Public license in the State of NY, is a plus. The role demands the ability to work both independently and as part of a team in a fast-paced environment, with a strong emphasis on multi-tasking and time management.
