About this role:
Wells Fargo is seeking a Transaction Manager supporting its Commercial Mortgage Loan & Securities Finance group.
In this role, you will:
Review and negotiate various legal agreements related to repo finance, warehouse finance and collateralized loan obligations and other private credit structures
Provide support to coverage bankers regarding legal structure for loan facilities and loan-on-loan financings
Advise management of industry trends or issues based on recently negotiated transactions
Act as a project manager for in-flight transactions at both the asset and facility level, coordinating with coverage bankers, portfolio managers, clients, Legal, Credit and Operations
Provide real-time updates of transaction status for deal team members
Interpret and apply policy in all aspects of transaction closing and maintenance
Review deal terms with customers and manage customer expectations
Identify and mitigate business and legal risks within compliance requirements
Identify and recommend opportunities for improvement in the closing process and documentation standards
Collaborate and influence all levels of professionals including more experienced managers
Train junior team members
Required Qualifications:
5+ years of Capital Markets Document Negotiation experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
Desired Qualifications:
Law degree strongly preferred
Experience with drafting, negotiating and managing repo/warehouse financing and structured financing, including Master Repurchase Agreements and asset-level documentation
Project management experience
Proven track record of closing complex warehouse financing and structured repo transactions
Excellent understanding of the underlying transaction and security documents and be able to grasp and articulate complex credit, operational, legal and business issues which arise during the negotiation and execution processes
Strong multitasking and communication skills
Ability to work long hours when required to accommodate transaction execution
Adaptability to new organizational structures and processes
Job Expectations:
Ability to travel as needed
Willingness to work on-site in accordance with current office requirements
Ability to work additional hours as needed
This position is subject to FINRA Background Screening Requirements, including successful completion and clearing of a background check. Internal transfers are subject to comply with 17 CFR 240.17f-2 of the Securities Exchange Act of 1934 and FINRA Bylaws, Article III, Section 3, which states that Associated Persons should not be subject to statutory disqualification.
