Overview Legal Counsel

– Contexture

Provides a broad range of legal support and advice to Contexture, including interpreting laws and regulations, drafting and negotiating agreements, and monitoring legislative changes. Supports transactional and strategic legal functions across Contexture’s health information exchange (HIE), public health, social determinants of health, and other business lines. Requires strong collaboration, attention to detail, and a proactive, solution‑oriented approach. This position is based in Phoenix, AZ, Denver, CO, or Grand Junction, CO with local work‑from‑home opportunities.

Responsibilities

Provide legal advice to Contexture personnel on a wide range of issues, including HIPAA, Part 2 regulations, privacy laws, data security incidents, regulatory developments, M&A, subpoenas, nonprofit governance, intellectual property, and employment law.

Interpret complex healthcare regulations and apply them to business and transactional matters, including operations and corporate affiliations.

Draft, review, and negotiate a variety of documents and agreements (e.g., customer agreements, business associate agreements, SaaS, licensing, vendor, facility, lease, services, and affiliation agreements).

Manage contracts with participants, government agencies, and vendors; respond to internal requests for legal advice related to contracts.

Provide oversight and guidance for the Contracts Lifecycle Management (CLM) system.

Identify and analyze legal issues, present clear recommendations, and mitigate legal risks.

Draft and update internal and external policies and procedures related to HIE access and data use, privacy, information security, contract review, and compliance.

Manage comprehensive privacy and compliance programs across multiple business lines; implement and monitor controls for federal and state privacy and healthcare laws (e.g., HIPAA, Part 2, Colorado Privacy Act, Arizona health information law).

Provide education and training on legal and compliance topics; handle or provide guidance on potential privacy and security incidents.

Provide legal guidance on tax, insurance, employment, and nonprofit governance matters; oversee outside counsel; perform related duties as assigned.

Qualifications

Minimum 5+ years of legal practice; law degree from an ABA‑accredited school; active license to practice in Arizona or Colorado.

Experience with healthcare contracts and regulatory requirements; familiarity with healthcare entities, government agencies, or nonprofit organizations is preferred.

Certified Information Privacy Professional (CIPP) preferred; HIPAA experience strongly preferred.

Ability to explain complex legal concepts to non‑lawyers; strong written and verbal communication skills.

Broad legal knowledge across contracts, regulatory issues, corporate law, and nonprofit governance; healthcare experience preferred.

Ability to lead teams, prioritize work, manage multiple tasks, and work independently or with others; solution‑oriented mindset.

Experience with Contract Lifecycle Management (CLM) systems; DocuSign CLM preferred.

Proficiency in Microsoft Office; familiarity with SharePoint, OneDrive, Visio, and Project is a plus.

Work Environment and Benefits The position may involve occasional after‑hours work and limited travel. The role involves handling sensitive information, including PHI and PII, and requires compliance with applicable laws and policies.
