Business Tax Services - Passthrough Transactions Group Consulting - Senior Manager. Location: Anywhere in the country. Base pay range: $170,100/yr - $388,400/yr. EY is building a better working world. Your Role
The Opportunity: Our Partnership Transactions Group (PTG) is a team with strong tax technical skills and substantial industry, government, and capital markets experience. The group combines specialists in partnership, real estate and leasing taxation; federal income tax controversy; and economic and financial modeling and analysis. We advise clients in all phases of a transaction’s lifecycle—from planning and risk evaluation to execution and ongoing maintenance, wind-down, and potential IRS defense on audit. Work on large, complex transactions with nationally recognized specialists in partnership, real estate, and infrastructure taxation, among others. Offices are located in multiple cities; Washington, D.C. location is not required. Key Responsibilities
Work directly with Partners/Principals in PTG and other national subject matter professionals; mentor Staff, Seniors, and Managers in PTG. Design and execute complex, large-scale partnership and real estate transactions with large clients; manage due diligence for acquisitions of partnership and REIT targets. Analyze and memorialize significant tax considerations and issues in memoranda and opinions. Handle representative transactions, including corporate and cross-border joint ventures, IPOs (REITs, SPAC, Up-C), private-equity acquisitions and dispositions (including continuation fund transactions), and internal restructurings across various industries (pharma/biotech, sports/entertainment, asset management, private equity, hedge funds, renewable energy, real estate, oil & gas, public-private infrastructure). Develop a deep understanding of partnership and real estate tax, partnership modeling, and joint venture structuring; collaborate on limited on-call consulting, Tax Alerts, Developments, and external presentations. Identifying, researching, and analyzing complex partnership and real estate tax issues Managing all stages of a transaction: due diligence, structuring, evaluating alternative structures, modeling target exposures, tax consequences, future cash flow, IRR, and allocation implications Preparing structure reports and drafting substantive emails, memoranda, and opinions Providing high-quality, timely, responsive service that meets or exceeds client expectations Managing, coaching, and developing a team of tax professionals; reviewing work and ensuring team members have tools and opportunities to excel Qualifications
Bachelor’s degree required CPA certification or membership in The Bar Minimum of 4-6 years of experience in professional services or professional tax organization Strong analytical and technical writing skills Broad exposure to federal income taxation; experience in partnership and/or real estate taxation is a plus but not required Significant transactional experience Flexibility to travel and work beyond standard hours when necessary Proficiency with MS Office (Excel, Word, PowerPoint) Preferred
Willingness and ability to learn and work independently with minimal supervision Demonstrated analytical and problem-solving skills Effective organization and time management under pressure and deadlines What We Offer You
Compensation and benefits package; base salary range is $170,100 to $388,400, with regional variations (New York City Metro Area, Washington State, California excluding Sacramento: $204,100 to $441,400).
