Overview
Corporate Counsel Attorney (Hybrid / Full Time, In-house) – Latitude Legal We have an outstanding opportunity for a corporate transactional attorney seeking to move in-house or broaden responsibilities to a generalist role supporting the General Counsel and key business players. This position is highly visible, supports the public technology company's leadership and governance and daily legal functions including commercial agreements. This attorney will assist with public company reporting, governance of subsidiaries abroad, mergers and acquisitions, corporate governance, general litigation and compliance.
Responsibilities
Assist in preparing SEC filings, including securities reporting and proxy statements and manage shareholder meetings. Draft Board and Committee resolutions and meeting minutes; coordinate annual Board and Committee evaluations and support director onboarding. Draft and collect annual director and officer questionnaires and assist with ongoing governance and compliance requirements. Provide legal support throughout all stages of M&A transactions, including preparing NDAs, conducting due diligence, summarizing findings, drafting transaction documentation, and assisting with closing logistics. Support the legal and governance needs of the Company’s domestic and international subsidiaries, including corporate maintenance, registrations, and cross-border coordination. Assist with internal investigations and provide legal guidance on compliance-related matters, including ethics, anti-bribery/anti-corruption, and conflicts of interest. Support various business units in company-wide policy management. Draft, review, and negotiate a variety of commercial contracts to support global business operations.
Qualifications
3 or more years of relevant corporate transactional experience. Strong knowledge of SEC reporting and public company governance (preferred). Hands-on experience in M&A transactions. Strong interpersonal skills and good judgment to work closely with stakeholders. Ability to field questions from customers, regulatory agencies, and business partners. Negotiating complex commercial contracts. Excellent academic credentials.
