Overview
The Director, Executive & Equity Compensation is responsible for the design and execution of executive rewards programs and policies to attract, retain, and engage leadership talent. They lead analysis and material development related to the Compensation Committee, Proxy and other governance topics, and oversee the administration of the company\'s global equity compensation programs. Responsibilities
Support the design and management of executive compensation programs that support company performance, long-term strategic goals, and shareholder value creation. Support the development and administration of global equity compensation programs and annual budgets, ensuring compliance with international regulations and tax requirements. Advise senior leadership and the Compensation Committee on executive pay philosophy, governance trends, and shareholder perspectives. Monitor market trends, regulatory developments, and best practices to recommend enhancements to compensation structures, incentive plans, and equity award guidelines. Lead the preparation of executive compensation disclosures, including CD&A, pay-versus-performance, and CEO pay ratio reporting. Conduct competitive benchmarking and advanced analytics to support executive pay decisions and incentive design. Develop and present materials for Compensation Committee meetings, ensuring clarity, accuracy, and strategic alignment. Review and update plan documents in response to regulatory and legislative changes, collaborating with legal, finance, and tax teams to interpret and recommend modifications. Oversee global equity compensation administration, including award tracking, vesting schedules, payouts, and regulatory compliance. Manage relationships with equity administration platforms to ensure accurate grant processing, vesting schedule, and participant communications. Monitor equity plan utilization, share pool management, and dilution metrics to maintain alignment with shareholder interests. Maintain accurate records and documentation to support audit and reporting requirements. Resolve issues related to equity transactions and tax reporting in collaboration with internal and external stakeholders. Collaborate cross-functionally with HR Business Partners, Finance, Legal, and external advisors to ensure alignment and operational excellence. Coordinate with legal and finance teams to prepare and file SEC disclosures, including Form 4s and Section 16 reports, ensuring compliance with accounting and tax standards. Minimum Requirements
10+ years of direct compensation and/or related experience 7+ years of prior experience with public company equity plan administration and supporting Executive Compensation Programs including supporting Compensation Committee materials and proxy required Knowledge of related executive and equity compensation rules, including SEC and IRS rules (409A) BA/BS degree in Human Resources, Business, Finance, Accounting, or a related field Benefits and Perks
