Snowflake is seeking an experienced technology transactions/commercial contracting lawyer to join us as Senior Corporate Counsel - Procurement reporting to our Director, Associate General Counsel - Procurement in a growing, world-class legal team. Our ideal candidate will be an experienced, creative, and pragmatic problem solver who excels at negotiating complex agreements and contributing to key team initiatives, including the improvement of templates, processes and cross-functional workflows. Top-tier writing and analytical skills are required, as is a demonstrated ability to recognize and weigh business and legal risks, think strategically, communicate effectively with stakeholders, and advance practical solutions.

This is an in-person role and can be based in Menlo Park, CA or Dublin, CA.

Responsibilities

Work closely with Snowflake's procurement team and business partners throughout the organization on inbound transactions for technology and services

Structure, review, draft and negotiate inbound vendor agreements, such as agreements for software, SaaS, consulting, data privacy, software development, and managed services

Provide sound advice and guidance on legal and commercial issues to senior business leaders to contribute to the overall success of the business

Balance legal risks against real-world business imperatives to provide pragmatic and market-based solutions

Monitor overall deal workflow to identify logjams and stretch past the boundaries of the role to (diplomatically) nudge things in the right direction

Help to continually develop and improve templates, forms, policies, and playbooks

Work closely in a cross-functional, fast-paced, dynamic work environment

Our ideal candidate will have

8+ years of legal experience in procurement technology transactions and commercial contracting, preferably with a mix of in-house and technology-focused law firm roles

Significant experience negotiating inbound technology and services contracts

Excellent drafting skills with the ability to nimbly craft creative solutions on the fly

Exceptional project management and multitasking skills with a proven ability to juggle competing priorities and operate independently with limited supervision

General knowledge of worldwide data privacy law, intellectual property law, artificial intelligence, SaaS, and employment regulations

Intellectual curiosity and a willingness to learn

Highly responsive and service-oriented attitude

Ability to collaborate with a wide variety of people, at all levels in the company, across the globe

Strong integrity and sound judgment

Attitude that no project is too big or too small

Commitment to treat everyone with respect

Flexibility and a sense of humor

JD from an accredited US law school and membership in at least one US state bar

Outstanding written and oral English communication skills

Prior experience with legal workflow technologies such as e-signature, document management, and contract lifecycle management is a plus

The following represents the expected range of compensation for this role:

The estimated base salary range for this role is $190,000 - $265,600.

Additionally, this role is eligible to participate in Snowflake's bonus and equity plan.

The successful candidate's starting salary will be determined based on permissible, non-discriminatory factors such as skills, experience, and geographic location. This role is also eligible for a competitive benefits package that includes: medical, dental, vision, life, and disability insurance; 401(k) retirement plan; flexible spending & health savings account; at least 12 paid holidays; paid time off; parental leave; employee assistance program; and other company benefits.
