Annual Bonus Overview
Diversified investment firm with a large real estate platform. Looking to add a Tax Lawyer on their Advisory team at the Director level in their NYC office. Responsibilities
Identify and resolve various tax issues related to the acquisition, ownership or disposition of a real estate investment. Coordinate entity due diligence and third-party REIT due diligence reports, where necessary, on property or portfolio acquisitions. Review purchase and sale agreements and all other related transaction documents for each acquisition. Review partnership agreements with attention to tax allocation provisions and other related tax provisions. Quantify and communicate the tax risks associated with business transactions to senior management to facilitate decision-making. Identify and analyze tax deferral strategies where appropriate and determine feasibility to implement. Work with advisors to structure various U.S. and international real estate funds and joint ventures to facilitate inflow of capital from diverse investors. Coordinate and review tax advice and/or opinions from external accounting and law firms, including negotiating firm representations. Maintain strong knowledge of FIRPTA and U.S. foreign withholding tax provisions. Coordinate REIT quarterly and annual testing. Liaise with internal teams and external advisors to ensure proper tax accounting treatment of transactions. Review newly enacted tax legislation applicable to real estate, particularly in partnerships, REITs, and inbound/outbound investments. Qualifications
4-8 years tax lawyer experience within real estate/REITs. Specializes in structuring and planning for complex REITs. JD or LLM degree. Seniority level
