Clay Bavor . Bret currently serves as Board Chair of OpenAI. Previously, he was co-CEO of Salesforce (which had acquired the company he founded, Quip) and CTO of Facebook. Bret was also one of Google's earliest product managers and co-creator of Google Maps. Before founding Sierra, Clay spent 18 years at Google, where he most recently led Google Labs. Earlier, he started and led Google’s AR/VR effort, Project Starline, and Google Lens. Before that, Clay led the product and design teams for Google Workspace.

What you’ll do

As one of our early legal hires, you will have the opportunity to join a growing and high-impact legal team. We are looking for someone who has deep expertise in strategic corporate transactions (e.g., financings, mergers and acquisitions), corporate governance and subsidiary management, but also someone who is also eager to broaden their scope across commercial contracting, employment, equity matters, and other strategic areas. You will thrive in dynamic environments, enjoy tackling challenges beyond your comfort zone, and be excited to contribute across the business. Corporate Transactions:

Structure, negotiate, and advise on strategic corporate transactions (e.g., financings, mergers and acquisitions) at all phases of the deal life cycle, from deal structuring and term sheet negotiation to due diligence, definitive agreement negotiation, and post-closing integration.

Subsidiary Governance:

Manage corporate governance and legal operations matters for Sierra subsidiary entities, both domestic and international, including incorporation, corporate maintenance (e.g., filings and regulatory information requests), preparation of board and committee materials, corporate resolutions, and working with management and directors in preparing for board meetings.

Expertise : Deep knowledge of practice areas that underpin the corporate practice, including corporate structuring and contracting (e.g., M&A and financing agreements), deal and project management, and corporate governance. You will also want to work in AI and understand the nuances of law as it relates to AI. You will be expected to advise broadly on all corporate issues and be comfortable doing so.

Operational Excellence : Help build out our corporate function to be best in class. We aim to be the fastest and strongest, where the legal team is the differentiator in the deal and contract lifecycle. You will be developing processes, templates, playbooks, and workflows to drive efficiency and scalability.

Collaborate : Collaborate cross-functionally with Operations, People Operations, Recruiting, Sales, and Agent Development teams to support strategic business initiatives and revenue growth.

What you’ll bring

2-6 years of legal experience, with a combination of both large law firm and in-house experience at a tech company.

A strong background in negotiating and managing complex corporate transactions and contracts, and managing and driving corporate governance matters.

Strong communication skills and the ability to partner with both legal and non-legal stakeholders.

A proactive mindset and the ability to navigate ambiguity in a fast-paced, dynamic startup environment.

Even better…

Experience with employment, benefits and/or equity matters, and/or experience negotiating and advising on commercial contracts (e.g., SaaS subscription agreements, technology licenses, professional services agreements, channel partner agreements, vendor agreements and NDAs).

A passion for AI, with a deep understanding of AI products, LLMs and the related legal issues.

Law firm experience at a top-tier, internationally recognized law firm.

Experience working at a high-growth startup and operating with a sense of ownership.

Industry specific knowledge in any of the following: Financial Services, Healthcare, Telecoms, Insurance and/or Consumer.
